Governance
The Board of Directors is composed of 8 members in total—4 internal directors and 4 independent outside directors (outside director ratio of 50%)—and the company has a Board of Corporate Auditors. Risk Management

Dividend Policy
The basic policy is to pay dividends twice a year, as an interim dividend and a year-end dividend. ESG
Under the "Canon MJ Group Environmental Vision 2050," the company has set 2030 mid-term environmental targets (a 42% reduction in Scope 1 and 2 emissions versus 2022, and a 25% reduction in Scope 3 Category 1 and 11 emissions). FY2025 results showed a 22.6% reduction in Scope 1 and 2 emissions (23,620 t-CO2) and a 3.0% reduction in Scope 3 emissions (626,405 t-CO2). The company has conducted scenario analysis based on TCFD recommendations and has also joined the TNFD Forum. In terms of human capital, the ratio of female managers stood at 6.9% (against a 2030 target of 12%), the number of certified DX Certification Professionals reached 1,406 (exceeding the target of over 1,000), and total annual training hours reached 760,000 hours; Canon Marketing Japan Inc. has obtained Health & Productivity Stock and White 500 certification. The company has identified seven themes as new materiality issues starting in 2026, and has established a framework linking these to its long-term management vision and medium-term management plan.
