Governance
The Board of Directors consists of 6 members (including 3 independent outside directors, 50% outside ratio), and the company has a Board of Corporate Auditors. The Board of Corporate Auditors is composed entirely of outside members (certified public accountants and lawyers), and PwC Japan LLC serves as the accounting auditor. No Nomination Committee or Compensation Committee has been established.
Risk Management
The company has established Risk Management Regulations and Compliance Risk Management Regulations, and holds monthly meetings of the Compliance Committee, chaired by the President and Representative Director. Routine risks are reported to and reviewed by the Board of Directors, while for sudden risks, the President and Representative Director activates a risk response framework.
Shareholder Returns
FY2025 (ended September 2025) results showed a dividend of ¥5 per share (year-end dividend only). For FY2026 (ending September 2026), the forecast is ¥0 for the second-quarter-end and ¥0 for the year-end, for an annual dividend of ¥0. The company has identified "strengthening human capital as a source of competitiveness" as a materiality issue, and is promoting human capital initiatives such as subsidies for qualification acquisition and book purchases, an internal job posting system, an employee stock ownership plan, health checkups, and working hours monitoring. Materiality is identified with reference to international standards such as SASB, GRI, and the SDGs, but quantitative targets related to climate change and measurable targets related to diversity have not yet been established.
