Governance
The company operates as a Company with an Audit and Supervisory Committee, with a Board of Directors consisting of 10 members (5 of whom are outside directors). It has established a voluntary Nomination Committee and Compensation Committee, with each chair serving as an outside director. The Board of Directors met 17 times during the fiscal year, with all directors maintaining a 100% attendance rate.
Risk Management
Based on the "Group Risk Management Basic Policy," the Sustainability Committee serves as the core body for identifying and managing key group risks. Geopolitical risk, natural disaster risk, and sustainability-related risks have been newly added, and risk areas have been reorganized into six categories. A crisis response framework based on the Crisis Management Regulations, along with BCP drills, is also implemented.
Shareholder Returns
The annual dividend for FY2026 (ending March 2026) is ¥47 per share (interim ¥23.5 + year-end ¥23.5), with total dividends of ¥11,491 million and a payout ratio of 36.9%. The forecast for FY2027 (ending March 2027) is an annual dividend of ¥50 (interim ¥25 + year-end ¥25), representing a dividend increase. Share buybacks are also being conducted.
Dividend Policy
As the shareholder return policy under the Mid-Term Management Plan 2027, the basic policy is to maintain a stable and continuous dividend targeting a DOE (Dividend on Equity ratio) of 5.0% or higher. Dividends are paid twice a year, as an interim dividend and a year-end dividend. For FY2026 (ending March 2026), the annual dividend is ¥47 (an increase of ¥2 year on year), and for FY2027 (ending March 2027), the forecast annual dividend is ¥50 (an increase of ¥3 year on year). Share buybacks are decided flexibly, taking into account business performance, capital structure, investment plans, and market conditions including the share price.
ESG
Already obtained SBT certification with a goal of achieving carbon neutrality by 2050. Total Scope 1 and 2 emissions for FY2025 were 87,017 t-CO₂e, a 51.9% reduction versus FY2018. The ratio of sustainable products to sales was 27.8% (target: 31%). In terms of human capital, the company achieved a 10.7% ratio of female managers and a 100% rate of paternity leave uptake among male employees, and has been selected as a Certified Health & Productivity Management Outstanding Organization (White 500) for three consecutive years.
