In July 2025, the company transitioned from a company with a board of company auditors to a company with an audit and supervisory committee. The Board of Directors consists of a total of 5 members: 2 directors (excluding audit and supervisory committee members) and 3 directors who are audit and supervisory committee members (all outside directors). Risk Management

The Company has established a Risk Management Committee based on its Risk Management Regulations to respond to risks on a cross-organizational basis. Sustainability risks are overseen by the Compliance Management Supervisory Department and the Risk Management Supervisory Department, and a system has been put in place whereby identified risks are periodically reported to and evaluated by the Board of Directors. The Sustainability Committee, established in May 2025, will work to further strengthen the risk management framework.

Shareholder Returns

The basic policy is to pay dividends twice a year (interim and year-end), in principle implementing stable and continuous dividends. The dividend per share for the fiscal year under review was ¥9.00 (interim ¥4.25, year-end ¥4.75). No numerical target for the payout ratio has been disclosed.

Dividend Policy

The company follows the principle of paying stable and continuous dividends every fiscal period, while maintaining a stronger financial base through active investment and retained earnings, and determines the dividend amount by comprehensively considering interim business performance and the payout ratio. Dividends are paid twice a year, as an interim dividend and a year-end dividend. For the fiscal year under review, the dividend per share was ¥9.00 (interim ¥4.25, year-end ¥4.75), with total dividends of ¥233 million for the interim and ¥261 million for the year-end.

ESG

On the environmental front, the company is working on adopting FSC-certified paper and biomass plastics, and reducing CO₂ emissions (targeting 439 products for direct mail elimination). In terms of human capital, it has achieved a female employee ratio of 76.96%, a female manager ratio of 41.30%, and a 100% male childcare leave uptake rate, with targets set for a female manager ratio of 50% or higher and a foreign national employee ratio of 10% or higher by the end of December 2028. In May 2025, the company established a Sustainability Committee to identify materiality issues and promote initiatives based on an annual plan.
