Risk of Dependence on a Specific Individual

Eiki Maruyama, President and Representative Director, plays a critical role as founder in formulating and determining management policy and business strategy, and if he were to become unable to continue his duties, this could have a material impact on the Group's business and performance. As a countermeasure, the Group is progressing toward a holding company structure and building a division-of-labor system through the expansion, development, and delegation of authority to management executives. As countermeasures, the Group conducts active recruitment activities while maintaining an appropriate balance between new graduate and mid-career hires, and has introduced a personnel evaluation system that emphasizes individual growth as well as strengthened in-house training programs for new graduate employees. However, the risk that personnel acquisition may become difficult due to intensifying competition in the labor market and other factors continues to exist.

In the course of business, the Group receives important confidential information such as personal information from clients, and if leakage, falsification, or unauthorized use occurs, this may result in claims for damages or loss of trust, causing a material impact on business performance. The occurrence of natural disasters such as earthquakes, typhoons, and tsunamis, fires, or the spread of various infectious diseases may have a serious impact on business operations; in particular, large-scale natural disasters could make normal business operations difficult, potentially affecting operating results and financial condition. Since the Outsourcing Business, centered on contact center operations, operates in a centralized manner at specific locations, the impact of a disaster occurring in a particular region would be significant.
