Business

Bengo4.com, Inc. has adopted the mission of "Professional Tech" and is composed of two core pillars: the Professional Support Business, which operates internet media including Japan's largest legal consultation portal site "Bengo4.com (Lawyer Support Service)" (29,172 registered lawyers) and the tax consultation portal site "Zeirishi.com"; and the CloudSign Business, which provides the contract management platform "CloudSign." Primary customers include professionals such as lawyers and tax accountants, corporate legal affairs staff, and general users and companies facing legal or tax issues. In May 2025, the company released "Legal Brain Agent," an AI agent specialized in legal affairs, strengthening support for improving the operational efficiency of professionals. In December 2025, the company transferred its listing to the Prime Market of the Tokyo Stock Exchange.

Business Model

In the Professional Support Business, the company combines fixed monthly charges—such as the paid membership service for lawyers (¥22,000–¥55,000 per month) and case law databases—with variable revenue from success fees on tax accountant referrals. In the CloudSign Business, the company employs a SaaS-type model in which usage-based fees tied to the number of contract transmissions are added to a fixed monthly plan fee, creating a structure in which revenue increases progressively as usage expands. Both businesses have a high degree of subscription characteristics, meaning that expansion of the customer base translates directly into revenue growth.

Company Strengths

"Bengo4.com (Lawyer Support Service)," which began operations in 2005, has 29,172 registered members, representing 62.3% of Japan's 46,836 lawyers, and cumulative consultations on Minna no Horitsu Sodan have surpassed 1.48 million. The number of lawyers registered as paid members reached 14,722 (as of the end of FY2026 (ending March 2026)), and the scale and credibility built up through years of operation form an entry barrier that competitors find difficult to replicate in a short period.

Revenue in the CloudSign Business for FY2026 (ending March 2026) was ¥8,756 million (up 25.6% year on year), and segment profit was ¥2,966 million (up 49.3% year on year). The number of contracts sent expanded approximately 2.7-fold from 4,387,683 in FY2022 (ending March 2022) to 11,745,682 in FY2026 (ending March 2026), and the continuous increase in both the number of paying client companies and the number of contracts sent underpins the sustainability of revenue.

The two-pillar structure of the Professional Support Business (revenue of ¥7,531 million, segment profit margin of 24.9%) and the CloudSign Business (revenue of ¥8,756 million, segment profit margin of 33.9%) combines stable revenue from the Media-related business with high-growth revenue from the SaaS-related business. Operating profit for FY2026 (ending March 2026) improved significantly to ¥2,205 million (up 58.7% year on year), with revenue diversification contributing to the improvement in profit margins.

ENVALITH's Perspective

Operating profit for FY2026 (ending March 2026) rose sharply to ¥2,204 million (up 58.7% year on year), and the operating profit margin improved 3.6 percentage points, from 9.9% to 13.5%. Segment profit in the CloudSign Business expanded rapidly, up 49.3% year on year, and fixed-cost leverage associated with the business's growing scale is becoming apparent. It should also be noted that, as an external factor, the overall expansion of the electronic contract market and rising demand for DX promotion are functioning as tailwinds.

In addition to the acquisitions of Nihon Legal Network (¥730 million) and Mikata Small-amount Short-term Insurance (¥2,788 million), the company executed borrowings totaling ¥2,700 million from MUFG Bank, Sumitomo Mitsui Banking Corporation, and Bank of Yokohama. The scale of goodwill and liabilities has not yet been finalized, and it is necessary to closely examine the extent to which the contribution of these M&A transactions is factored into the earnings forecast for FY2027 (ending March 2027) (revenue of ¥20,500 million, operating profit of ¥3,000 million). Rising financial leverage and integration costs could serve as factors compressing profit in the short term.

The company's forecast for FY2027 (ending March 2027) calls for high growth rates, with revenue of ¥20,500 million (up 25.9% year on year) and operating profit of ¥3,000 million (up 36.1% year on year). At the same time, continued expansion of hiring and advertising investment in the CloudSign Business, as well as integration costs for newly acquired subsidiaries, exist as factors increasing expenses. On an EBITDA basis, the company expects ¥4,300 million (up 35.0% year on year), and confirming the substantive cash-generating capacity, taking into account increased depreciation and amortization of goodwill, will be an important point for investment decisions.

Growth Strategy

Building a legal ecosystem through CloudSign expansion, AI utilization, and M&A

The company aims to increase the number of paid subscriber companies and contract transmission volume through strengthening its development and sales structure via active hiring and advertising placements across various media. In FY2026 (ending March 2026), the number of transmissions reached 11,745,682 (up 16.5% year on year), and continued high growth of this business is expected in FY2027 (ending March 2026, sic).

The legal-specialized AI agent released in May 2025 will be further integrated with Hanrei Hisho and Bengo Kakumei, driving development and expanded sales of products for professionals such as lawyers. The company aims to enhance value-added and create new revenue by supporting operational efficiency for professionals.

Effective April 2, 2026, the company acquired 100% of the issued shares of Nihon Legal Network (Legal Finance business) for ¥730 million, making it a subsidiary. Through a service that reduces the initial burden of lawyer fees, the company will work to resolve the "20% justice" issue and improve access to justice. Details such as goodwill have not yet been finalized at this time.

Effective April 27, 2026, the company acquired a majority of voting rights (63.2%) in Mikata Small-Amount Short-Term Insurance (the largest company in the lawyer insurance industry) for ¥2,788 million. The company expects to improve access to justice through the spread of lawyer insurance, as well as create synergies by accelerating sales using Bengo4.com's customer base.

The company will continue to focus on improving brand recognition through article and video distribution on "Bengo4.com News," as well as providing valuable content and enhancing usability for users. In FY2026 (ending March 2026), Professional Support Business net sales were ¥7,531 million (up 6.1% year on year), and segment profit was ¥1,873 million (up 22.8% year on year).
