Company with an Audit and Supervisory Committee. Of the 7 directors, 5 are outside directors (all serving as independent officers), and a voluntary Evaluation Committee (comprising 5 outside directors) has been established, functioning as the equivalent of a nomination and compensation committee. An executive officer system has also been introduced, building a structure that achieves both management transparency and agile decision-making.
Risk Management
The Company's basic approach relies on checks and internal control functions through internal regulations and manuals, along with legal risk response by retained legal counsel, and conducts bottom-up risk collection through group discussions involving all employees held once every half-year. Internal audit personnel conduct regular audits of risk management and internal controls, and a structure is in place whereby response measures are finalized at management meetings and management retreats. Additionally, unauthorized third-party access to the "Tamago Repeat" server was confirmed in October 2025, and the Company is proceeding with an investigation by external specialists and strengthening its information management system.
Shareholder Returns
Currently a no-dividend policy. The company positions enhancement of retained earnings and investment for business expansion as the greatest return to shareholders, and the possibility and timing of dividend payments remain undetermined. ESG
With the purpose of "Enriching the world through subscriptions," the company works on ESG initiatives centered on human capital development. It promotes corporate culture cultivation through the Temo-ism Forum (held twice a year) and Group Discussions (held once per half-year period), as well as internal environment improvements such as flextime and a hybrid work style with three days of office attendance per week. Given that the direct impact of climate change is judged to be limited, risk indicators have not been established. As human capital indicators, the company discloses a target of 40% for the ratio of female new graduate hires (actual: 0%) and a target of 80% for the paid leave utilization rate (actual: 70%). It holds Privacy Mark certification (obtained in 2014) and ISMS certification (obtained in 2019).
