Material Events Regarding Going Concern Assumption

The Company has continued to record operating losses, ordinary losses, and net losses attributable to owners of the parent in the fiscal year under review, and material events continue to exist that raise substantial doubt about the going concern assumption. As a countermeasure, in January 2026 the Company implemented a capital increase of approximately ¥600 million through a capital and business alliance with Cybridge LLC and a third-party allotment of shares. In addition, the Company decided to exclude three subsidiaries—Engineer Farm Inc., Vanyans Inc., and TENJIN SYSTEM CONSULTING Inc.—from the scope of consolidation, and plans to achieve profitability in operating income through cost reductions and margin improvement from business structural reform.

The majority of the Group's functions are located in Tokyo, and there is concern that corporate activities could decline if employees or facilities are damaged by natural disasters or infectious diseases such as COVID-19.
