The Board of Directors comprises 9 members in total: 6 directors who are not Audit and Supervisory Committee members (2 of whom are outside directors) and 3 directors who are Audit and Supervisory Committee members (2 of whom are outside directors). Risk Management

The company has established a Risk Management Committee (held regularly once every six months) based on the "Risk Management Regulations," which monitors risks across the entire group and reports to the Board of Directors. For climate change risk, the Sustainability Committee conducts scenario analysis (transition and physical risks) and evaluates risks along two axes: likelihood of occurrence and financial impact. An environmental management system based on ISO14001 has also been established and is in operation. The Investment Committee also conducts prior deliberation on major investment projects.

Shareholder Returns

The interim dividend for FY2026 (ending September 2026) is ¥30 per share (an increase from ¥28 in the same period last year). The year-end dividend forecast is ¥15 per share after taking into account the stock split (1 share → 2 shares, effective July 1, 2026), or ¥30 before adjustment for the split. The annual dividend, before adjustment for the split, is ¥60, continuing the increase from ¥57 in the previous fiscal year. The progressive dividend policy is maintained.

Dividend Policy

Taking into account consolidated business results and financial condition, the basic policy is to continue increasing dividends and maintain stable dividends. During the "SV2028" period, the company will continue a progressive dividend policy with a target payout ratio of 30% or more. A stock split of 2 shares for every 1 share held is planned to take effect on July 1, 2026, and the year-end dividend forecast after the split is ¥15 per share (¥30 before adjustment for the split).

ESG

In December 2022, the company expressed support for the TCFD recommendations, setting targets of net-zero GHG emissions (Scope 1, 2) by 2050 and a 50% reduction by 2030. A Sustainability Committee under the direct authority of the President (meeting quarterly) oversees climate change and social issue response, with supervision by the Board of Directors. In terms of human capital, under the "Sanyo Jinzai 3S" (Sanyo Human Resources 3S) strategy, the company promotes multifaceted ESG initiatives including training through the "Sanyo Academy" (443 sessions held in FY79), a male employee childcare leave uptake rate of 69.2%, certification as an "Excellent Enterprise of Health and Productivity Management 2025" (Kenko Keiei Yuryo Hojin 2025), and signing of the United Nations Global Compact.
