As of the filing date, the Board of Directors consists of 12 directors (including 4 outside directors), and the Board of Corporate Auditors consists of 4 corporate auditors (including 2 outside corporate auditors). Risk Management

The same ¥220 annual dividend is planned for FY2027 (ending March 2027). The Board of Directors resolved to conduct a share buyback of up to 3,000,000 shares and ¥27.5 billion (from May to December 2026).
Dividend Policy
The basic policy is to pay dividends twice a year, as interim and year-end dividends. For FY2026 (ending March 2026), the annual dividend per share is ¥220 (interim ¥80 + year-end ¥140), with a payout ratio of 30.8% and a dividend-on-equity ratio (DOE) of 4.3%. The year-end dividend was increased from the initially planned ¥120 to ¥140. For FY2027 (ending March 2027), an annual dividend of ¥220 (interim ¥80 + year-end ¥140) is planned, with a payout ratio expected to be 33.0%.
ESG
As part of its climate change response, the company has expanded TCFD-based 1.5°C/4°C scenario analysis to its domestic instant noodle, chilled foods, and overseas instant noodle businesses, and has set FY2030 targets of a 20% reduction in CO2 emissions intensity (versus FY2018) and a 100% certified palm oil substitution rate. In terms of human capital, Toyo Suisan Kaisha, Ltd. has set targets of raising the ratio of female managers to 10% or more and the ratio of male employees taking childcare leave to 50% or more (both FY2027 targets), and has achieved a 98.8% training participation rate within the domestic group. The company has identified seven materiality issues and is promoting the simultaneous achievement of economic and social value.
