Company with a Board of Corporate Auditors. Of the four directors, two are outside directors (independent officers), and of the three corporate auditors, two are outside corporate auditors. An advisory Nomination and Compensation Committee, on which independent outside directors hold a majority, has been established, building a governance structure that achieves both transparency and speed of management.
Risk Management
Based on the "Group Risk Management Regulations," the Group Risk Compliance Committee manages company-wide risk and compliance on a quarterly basis and reports to the Board of Directors. Multiple specialized committees, including the Information Security Committee, the Harassment Committee, and the Related Party Transactions Review Committee, have been established, creating a multi-layered risk management framework.
Shareholder Returns
The basic policy is to pay stable and continuous dividends, and the annual dividend forecast for FY2026 (ending June 2026) is ¥16 per share (year-end lump sum). This maintains the same level as the previous fiscal year's actual results. Treasury stock repurchases can be conducted based on a board of directors' resolution under the articles of incorporation. No numerical dividend payout ratio target has been disclosed.
Dividend Policy
The basic policy is to pay a year-end dividend once per year, and an interim dividend (record date: December 31 each year) is also permitted under the articles of incorporation. The annual dividend forecast for FY2026 (ending June 2026) is ¥16 per share (¥0 at the second quarter-end, ¥16 at year-end). This is the same level as the previous fiscal year's actual results (¥16 per share, total dividends of ¥1,956 million). Internal retained earnings are allocated to capital expenditures and other uses.
ESG
Under the purpose of "Creating a society where everyone in the world can enjoy 'abundance,'" the company positions the reduction of waste, unevenness, and excess in the distribution and retail industry as the foundation of its sustainability efforts. In terms of human capital, it promotes a Diversity & Inclusion project, but specific numerical targets such as the ratio of female managers have not yet been set.
