Governance
Company with a Board of Corporate Auditors. The Board of Directors consists of 6 members (3 outside directors, 50% outside ratio), and all members attended the 19 board meetings. A Nomination and Compensation Committee (advisory body) has been established, chaired by an outside director.
Risk Management
The Board of Directors and Management Committee monitor progress on key issues, including sustainability. Risk management regulations covering compliance, credit, and finance have been established, and the Risk Management Committee (held twice a year) and the Compliance Committee (held four times a year) convene regularly. The Internal Audit Office, reporting directly to the President, is responsible for the internal control function.
Shareholder Returns
Annual dividend amount is determined targeting a consolidated payout ratio of 35–40%, with DOE (dividend on equity) of at least 1.0% as the floor. For the current fiscal year (FY2026, ending March 2026), the interim dividend was ¥15 plus a year-end dividend of ¥7, for an annual total of ¥22 (payout ratio 36.4%). An interim dividend of ¥30 is planned for the next fiscal year, with the year-end dividend yet to be determined. A resolution was also passed for share buybacks (up to 720,000 shares / ¥558,000 thousand) and share cancellation.
Dividend Policy
The annual dividend amount is determined targeting a consolidated payout ratio of 35–40%, on the premise of DOE (dividend on equity) of at least 1.0%. Dividends are paid twice a year (interim and year-end). Results for the current fiscal year (FY2026, ending March 2026): interim dividend of ¥15 plus year-end dividend of ¥7, totaling ¥22 for the year, with total dividends paid of ¥242 million and a payout ratio of 36.4%. For the next fiscal year (FY2027, ending March 2027), an interim dividend of ¥30 is planned, with the year-end dividend to be announced after full-year results are finalized.
ESG
The company positions stainless steel and titanium as foundational materials for a decarbonized society and has set a policy to contribute to the realization of a sustainable society. Regarding human capital diversity, it has established numerical targets—such as a female manager ratio of 10% and a female hiring ratio of 50%—to be achieved by the end of March 2033 (Reiwa 15), and is advancing workplace environment improvements, including promoting the use of paid leave, operating a labor safety committee, and obtaining Health and Productivity Management Organization (Silver) certification.
