Governance

The company is an audit and supervisory committee company. As of the filing date of the annual securities report, the Board of Directors comprises 6 outside directors (4 of whom are audit and supervisory committee members). Following approval at the Annual General Meeting of Shareholders on June 23, 2025, the number of directors is expected to become 14 (including 7 outside directors). A Nomination Committee, a Compensation Committee, and a Corporate Governance Committee have all been established as voluntary advisory bodies, each chaired by an independent outside director.

Risk Management

The Risk Management Committee has been established as the overarching body for company-wide risk management, with the director in charge of risk management serving as the overall responsible officer. Risks related to the environment and human capital are primarily identified, evaluated, and monitored by the Sustainability Committee, which works in coordination with the Risk Management Committee to implement the company-wide risk strategy. Information security is managed and operated by the Information Security Committee, chaired by the President and Representative Director.

Shareholder Returns

The basic policy is a consolidated dividend payout ratio of 40%, excluding temporary profit and loss items. In the fiscal year under review, an interim dividend of ¥37 and a year-end dividend of ¥41 (annual total ¥78) were implemented. Provisions have been established in the Articles of Incorporation to enable agile profit distribution through resolutions of the Board of Directors, and share buybacks can also be implemented by resolution of the Board of Directors under the Articles of Incorporation.

Dividend Policy
