Business

CERESPO CO., LTD. is an event production and operation specialist company established in 1977. It operates three business segments: the Base Business (diverse event domains handled by each sales branch), the Sports Business (sports and competition events for central sports federations and other bodies), and the Royal Event Business (nationwide rotating events centered on events attended by the Imperial Family). The company handles planning, venue construction, staging, progress management, and operations on an integrated basis, leveraging its nationwide branch network to deliver "customer-oriented" service and "on-site responsiveness" as its core strengths. It is listed on the Standard Market of the Tokyo Stock Exchange. It is an independent company with no parent company or subsidiaries.

Business Model

The company undertakes comprehensive event production contracts from clients, providing an integrated service covering everything from planning and proposal through venue setup, production, and operation, in exchange for compensation. Revenue is structured as the product of the number of projects and the unit price per project, and in years when international events or major sporting events are held, rising unit prices boost performance. Outsourcing costs, material costs, and labor costs are the main cost items, with the cost of sales ratio at approximately 64.7% (FY2026, ending March 2026). Fundraising is based principally on internal funds, maintaining financial stability.

Company Strengths

Since its founding in 1977, the company has established branches in major cities nationwide, including Sapporo, Sendai, Tokyo, Yokohama, Nagoya, Osaka, and Fukuoka. Its approximately 50-year track record in event production combined with its nationwide network has enabled it to build a system capable of handling diverse events regardless of region. In FY2027 (ending March 2027), nationwide events commemorating the company's 50th anniversary are also planned.

The Royal Event Business segment handles nationwide rotating events centered on events attended by members of the Imperial Family. In FY2026 (ending March 2026), this segment's revenue amounted to ¥3,025 million (20.0% of the composition). Its track record in this specialized area, which requires a high degree of operational quality and reliability, serves as a barrier to entry that is difficult for competitors to replicate in a short period of time.

In 2016, the company obtained ISO 20121 certification, the international standard for event sustainability. It has also launched a website focused on the themes of "sustainable events," "team building," and "event DX," demonstrating its ability to respond to customer needs for ESG-oriented initiatives. The company has also obtained Privacy Mark certification (2009) and security business certification (2005).

ENVALITH's Perspective

The provision for loss related to Antimonopoly Act violations, which recorded ¥1,303 million in the previous period, was reversed by ¥1,163 million in the current period, shrinking the period-end balance to ¥140 million. As a result, net income for the current period turned positive at ¥766 million. However, the "Other" notes disclose the existence of a clause allowing the counterparty to exercise a monetary claim in the event of a legal violation, and the potential contingent liability risk continues to warrant close monitoring.

In FY2026 (ending March 2026), the recovery continued with net sales of ¥15,138 million (up 10.8% year on year) and operating profit of ¥1,083 million (up 35.5% year on year). However, the forecast for FY2027 (ending March 2027) anticipates net sales of ¥15,500 million (up 2.4%), but operating profit of ¥1,000 million (down 7.7%) and net income of ¥680 million (down 11.3%), indicating a decline in profit. While the company plans to hold nationwide events for its 50th anniversary commemorative business, this suggests a structure in which rising costs will pressure profits, leaving challenges for sustained improvement in profitability.

Cash flow from operating activities in FY2026 (ending March 2026) fell sharply to ¥13 million (from ¥510 million in the previous period). The main cause was the reversal of the provision for loss related to Antimonopoly Act violations (down ¥1,163 million), and cash generation capacity was limited relative to pre-tax income of ¥1,087 million. Investment cash flow was ¥2,125 million negative, mainly due to a ¥2,000 million placement of time deposits, and cash and cash equivalents decreased to ¥4,499 million. Assessing the substantive on-hand liquidity, including time deposits, becomes a key point for investment decisions.

Growth Strategy

Advancing sustainable revival through strengthening the business foundation, building trust, and enhancing on-site responsiveness

As an initiative to rebuild the business foundation, continuing from the previous fiscal year, the company is strengthening management across its nationwide branches. In FY2026 (ending March 2026), both net sales and operating profit increased year on year, reflecting the effects of these initiatives in the results.

The company continues to invest in human resource development with the aim of building a strong and resilient CERESPO. Personnel expenses, including bonuses and welfare costs, have increased, reflecting progress in investment in human capital. This is positioned as an initiative that will lead to enhanced competitiveness over the medium to long term.

The company plans to hold 50th anniversary commemorative events nationwide in FY2027 (ending March 2027). While these events are expected to contribute to net sales of ¥15,500 million (+2.4% year on year), operating profit is forecast to decline to ¥1,000 million (-7.7% year on year) due to increased related costs. For the next fiscal year, the company plans an annual dividend of ¥50, comprising an ordinary dividend of ¥40 and a special dividend of ¥10.
