Governance
The company has an Audit and Supervisory Committee structure. The Board of Directors consists of 9 members in total: 5 executive directors and 4 audit and supervisory committee members (3 of whom are outside directors). The Group Executive Officer System introduced in January 2022 promotes the separation of decision-making/oversight functions from business execution functions. A voluntary Nomination and Compensation Committee has been established (comprising 3 outside directors and 2 internal directors, chaired by an outside director) to provide advisory input on the selection of director candidates and compensation decisions. The Board of Directors met 22 times during the year (including one resolution in writing).
Risk Management
The company has established measures in advance against crisis events, including cyberattacks, and has built a group-wide crisis management system in which, upon occurrence of an event, a response meeting attended by directors, the Group CISO, and the presidents of each group company is convened according to the severity of the event. It has formulated guidelines for regularly conducting vulnerability assessments across all sites, and continues internal awareness activities such as targeted phishing email drills. For large-scale purchase actions, it has established large-scale purchase rules and countermeasure procedures involving a special committee, building a system to protect corporate value.
Shareholder Returns
Quarterly dividends are paid with a target payout ratio of 33% of profit attributable to owners of the parent. The annual dividend for FY2025 was ¥52.00 per share. The dividend for Q1 FY2026 is ¥21.20 per share. The annual dividend forecast remains undisclosed due to the absence of an earnings forecast. Share buybacks were also conducted (1,260,700 shares acquired for ¥4,999 million in November 2025, with 924,559 shares retired in February 2026).
Dividend Policy
The company aims to pay dividends on a quarterly basis, targeting a payout ratio of 33% of profit attributable to owners of the parent. Because the Crypto Asset Business, Internet Finance Business, and Incubation Business are subject to market conditions that make earnings forecasting difficult, the annual dividend forecast is not disclosed and will be disclosed promptly once it becomes possible to do so. The annual dividend for FY2025 was ¥52.00 per share (Q1: ¥17.60, Q2: ¥16.80, Q3: ¥9.50, Q4: ¥8.10). The dividend for Q1 FY2026 is ¥21.20 per share.
ESG
With "Internet for Everyone" as its basic policy, the company has established a Sustainability Promotion Committee chaired by the CEO, which coordinates with the Board of Directors and the Management Committee. In terms of human capital, the company has developed HR systems based on "GMO-ism," including quarterly evaluations, 360-degree hearings, and compensation transparency, and against a target of 60.0% for the ratio of engineers, creators, and directors (the "maker ratio"), the actual result for FY2025 was 50.8%. For AI talent development, the company created the "GMO AI Boost Support Fund" (total usage in FY2025 of ¥154 million, or ¥7,234 per partner). On the cybersecurity front, the company conducts regular vulnerability diagnostics across all sites and targeted-attack email training. The ratio of female managers at the filing company is 18.8%, and the male childcare leave uptake rate is 60.0%.
