Company with a Board of Corporate Auditors. The Board of Directors consists of 10 directors, including 5 outside directors (outside director ratio: 50%), and a Compensation Committee (with outside directors comprising a majority and serving as chair) has been established. In May 2026, the company introduced a large-scale acquisition response policy, including an independent committee, as a takeover defense measure.
Risk Management
The company recognizes climate change and natural disaster risk in the Broadcasting Business (decline in commercial revenue, damage to facilities) as a key risk, and has established crisis management regulations, an emergency response committee, an information security policy, and other frameworks. It plans to further advance the collection and analysis of climate change risk information going forward.
Shareholder Returns
Basic policy is to continue stable dividends; the annual dividend was increased to ¥16 (interim ¥8 + year-end ¥8) for FY2026 (ending March 2026). A further increase to an annual dividend of ¥18 (interim ¥9 + year-end ¥9) is planned for FY2027 (ending March 2027). Share buybacks (¥103 million) were also conducted during the current period.
Dividend Policy
The basic policy is to continue paying stable dividends to shareholders on the basis of a stable, long-term management foundation, with dividends paid twice a year through interim and year-end dividends. For FY2026 (ending March 2026), the interim dividend is ¥8 and the year-end dividend is ¥8, for an annual total of ¥16 (payout ratio of 6.9%). For FY2027 (ending March 2027), as a further shareholder return enhancement measure, the interim dividend is planned at ¥9 and the year-end dividend at ¥9, for an annual total of ¥18 (projected payout ratio of 10.5%). No numerical target for the payout ratio has been disclosed.
ESG
Set targets to reduce CO₂ emissions by 15% by 2030 compared to 2023 (based on the combined 3,456t of the three core group companies), and to raise the ratio of female managers to 20% or more by 2030. The Group is also engaged in community contribution initiatives (Kids Project, healthy life expectancy extension, disaster prevention and mitigation) and human capital investment (AI reskilling, health management).
