Governance
The company has a Board of Directors with a Board of Corporate Auditors, and 4 of the 9 directors are outside directors (outside director ratio of approximately 44%). Both a Nomination Advisory Committee and a Compensation Advisory Committee have been established, forming a highly independent structure in which outside directors constitute a majority and serve as chair.
Risk Management
The company has established the "TBS Group Comprehensive Risk Management Committee" under the "TBS Group Corporate Conduct Committee," which is chaired by the President, and reviews risks semiannually. The Sustainability Creation Center and the Sustainability Committee continuously monitor and identify sustainability risks, and a system is in place to report them to the Executive Board and the Board of Directors.
Shareholder Returns
Annual dividend for FY2026 (ending March 2026) is ¥84 per share (interim ¥35 + year-end ¥49, payout ratio 25.3%). For FY2027 (ending March 2027), an annual dividend of ¥100 (interim ¥50 + year-end ¥50) is planned. The target payout ratio has been raised from 30% to 40%. The Company also resolved to acquire treasury shares (up to 6,500,000 shares / ¥36.0 billion) and to cancel 4,500,000 shares.
Dividend Policy
The Company will raise its consolidated payout ratio target from the previous 30% to around 40%, and will implement stable and continuous dividends. Separate consideration will be given in cases where profit fluctuates significantly due to special factors. The annual dividend for FY2026 (ending March 2026) is ¥84 per share (interim ¥35 + year-end ¥49, payout ratio 25.3%). ESG
The company endorses the TCFD recommendations and analyzes climate change risks and opportunities under two scenarios, 1.5°C and 4°C. It achieved carbon neutrality (Scope 1 and 2) at its main business sites in FY2023, and aims for zero Scope 1 and 2 emissions by FY2030. Human rights due diligence has been conducted covering 152 content production partner companies and 4,646 officers and employees across 6 core companies, and as part of human capital management, the company is also working on hiring 300 professional personnel and developing female management talent.
