Governance
Company with a Board of Corporate Auditors. The Board of Directors consists of 7 directors (4 outside directors, of whom 2 are independent), and there are 3 corporate auditors (all outside). The attendance rate at Board of Directors meetings for all directors and corporate auditors is 100%. No nomination committee or compensation committee has been established.
Risk Management
The Group has established the "Group Risk Management Regulations," under which risks arising from overall business activities are managed by relevant departments. Important matters are deliberated at the Management Meeting, and compliance-related matters are handled by the Internal Control Office and the Corporate Auditors. A system has been established whereby the Internal Control Office conducts internal audits on a quarterly basis and reports the results to the Internal Control Committee.
Shareholder Returns
Introduced a new shareholder return policy combining performance-linked and stable dividends. The year-end dividend for FY2026 (ending March 2026) is ¥125 per share (payout ratio of 30.9%). For FY2027 (ending March 2027), an interim dividend will be newly introduced, with an annual dividend forecast of ¥80. The company targets a consolidated payout ratio of 30% or more, with a minimum annual dividend floor of ¥80. During the current fiscal year, a large-scale share buyback (¥1,710 million) was also carried out.
Dividend Policy

The company targets a consolidated payout ratio of 30% or more relative to profit attributable to owners of parent, and if the calculated dividend per share falls below the minimum annual dividend floor (¥80 per share), the floor amount will be applied. An interim dividend will be introduced starting from FY2027 (ending March 2027).
ESG
In line with IMO policy, the company is working to reduce GHG emissions, having completed EEXI compliance for existing vessels, installation of PBCF (propeller boss cap fins), adoption of environmentally friendly paint, and introduction of E-Course Pilot. It has established a Sustainability Committee that reports climate change risks to the Board of Directors. On the human resources front, it has developed training and safety education programs, initiatives to promote women's participation, and childcare/family care-related systems to support diverse working styles.
