Company with a Board of Corporate Auditors (5 directors, of which 2 are outside directors). A voluntary personnel advisory committee has been established, and outside directors deliberate in advance on nomination and compensation proposals. During the fiscal year under review, the Board of Directors met 13 times, with full attendance.
Risk Management
The Company has established a risk management framework based on its compliance manual, with each department head periodically reporting to the Board of Directors. In addition to regular audits conducted by the Audit Office, the Sustainability Promotion Committee, established in July 2025, integrates risks into the company-wide risk management process, with physical risks from climate change reflected in the BCP (Business Continuity Plan).
Shareholder Returns
The company maintains a basic policy of continuing stable dividends, paying dividends twice a year. The annual dividend for FY2026 (ending March 2026) is ¥23 per share (interim ¥11.5, year-end ¥11.5), with total dividends of ¥492 million and a payout ratio of 20.1%. For FY2027 (ending March 2027), an annual dividend of ¥26 per share (an increase of ¥3 year on year) is planned.
Dividend Policy

For FY2026 (ending March 2026), the annual dividend per share is ¥23 (interim ¥11.5, year-end ¥11.5), with total dividends of ¥492 million and a payout ratio of 20.1%. For FY2027 (ending March 2027), an annual dividend per share of ¥26 (interim ¥13, year-end ¥13, an increase of ¥3 year on year) is planned. Retained earnings are utilized as a source of funds for establishing the management foundation and improving profitability.
ESG
Positioning environmental, social, and governance considerations at the core of management, the Company has identified seven materiality issues (Environment, Safety & Quality, Human Capital, Partnerships, Governance, Social Contribution, and Business Growth) and set KPIs. FY2025 results included CO₂ emissions of 13,805t, an employee engagement score of 3.07 points (target: 3.00 points or above), and a 100% compliance training completion rate. The Company has set carbon neutrality by 2050 as a long-term goal, promoting trial introduction of EVs and FCEVs and the use of SAF (Sustainable Aviation Fuel).
