Governance
The Board of Directors consists of 9 members (3 outside directors, an outside ratio of 33.3%), and the company has a Board of Corporate Auditors structure. It has established a Nomination and Compensation Committee, an optional advisory body to the Board of Directors in which outside directors hold a majority, and in April 2026 newly established a Management Council.

Dividend Policy
The basic policy is to pay appropriate dividends in line with business performance while maintaining stable long-term dividends, targeting a consolidated payout ratio of approximately 50%. A single year-end dividend is paid annually (year-end dividend only). Actual results for FY2026 (ending March 2026) were ¥35 per share (total dividends ¥1,641 million, payout ratio 39.0%). The forecast for FY2027 (ending March 2027) is ¥37 per share (payout ratio 49.4%).
ESG
Conducted TCFD-based 4°C and 1.5°C scenario analysis, setting a goal of carbon neutrality by 2050. FY2024 GHG emissions (Scope 1+2) were 525.0 t-CO2 (down from 550.1 in the previous fiscal year). In human capital, diversity indicators improved, with the ratio of female managers at 7.0% (up from 5.8% in the previous fiscal year) and the ratio of mid-career hires among managers at 55.2% (up from 48.7% in the previous fiscal year).
