Tokai Tokyo Financial Holdings is a holding company for a comprehensive securities group with a history dating back to its founding in 1929. Comprising 20 consolidated subsidiaries and 14 equity-method affiliates, the group is centered on Tokai Tokyo Securities, which has its main base in the Chubu region and engages in financial instruments business including securities trading, underwriting, and offering solicitation. It combines face-to-face sales services for individual wealthy clients (under the Orque d'or brand), Regional Bank Partnership Joint Venture Securities (JV Model) (such as Hamagin TT Securities and Nishi-Nippon City TT Securities), and digital financial services through CHEER Securities, serving a broad customer base of individuals, corporations, and institutional investors. In addition to its domestic operations in Japan, the group has a global presence with offices in Asia, Europe, and the United States.

Business Model

Revenue is built on three pillars: ① equity brokerage commissions (¥20,425 million in FY2026 (ending March 2026)), ② trading gains/losses (¥38,087 million), and ③ stock-type revenue such as investment trust agency fees (¥8,386 million) and insurance commissions (¥6,485 million). Providing a platform to regional bank partnership joint venture securities firms (intermediary-type business model) and expanding the customer base through collaboration with Powerful Partners also function as revenue sources, as the company pursues a balance between market-sensitive and stable revenue streams.

Company Strengths

The company operates joint venture securities companies as equity-method affiliates with multiple regional banks, including Hamagin TT Securities, Nishi-Nippon City TT Securities, Hokuhoku TT Securities, Ikeda Senshu TT Securities, Juroku TT Securities, and Tochigin TT Securities. This JV Model, which provides securities functionality to regional banks' customer bases, forms a broad-area customer network that would be difficult to build independently, creating a unique business structure that competitors would find difficult to replicate in the short term.

The company has built a multi-layered individual sales model that combines the salon operations, securities-backed loans, and asset portfolio model under the high-net-worth-oriented "Orque d'or" brand with a parallel "Claire Ciel Strategy" targeting semi-affluent and upper-mass segments. Assets under custody reached ¥13.4 trillion in FY2026 (ending March 2026), with the customer asset base accumulated through years of face-to-face sales serving as a support for earnings.

Investment trust agency fees steadily expanded to ¥8,386 million (up 14.7% year on year) in FY2026 (ending March 2026), and insurance commissions rose to ¥6,485 million (up 3.6% year on year). These stock-type revenues are less susceptible to market fluctuations and function as a stable revenue base that mitigates volatility in brokerage commissions and trading gains/losses. Other fee income as a whole totaled ¥18,783 million, accounting for approximately 39% of total fee income received.

ENVALITH's Perspective

Operating revenue for FY2026 (ending March 2026) reached ¥97,716 million (up 13.2% year on year), and net income attributable to owners of the parent surged to ¥16,569 million (up 50.0% year on year), marking a significant profit increase. As an external factor, the average daily trading value on the TSE Prime Market expanded to ¥6,701.5 billion (up approximately 32% year on year), which pushed up equity brokerage commissions (+36.8%). However, as indicated by the company's policy of not disclosing earnings forecasts, the structural risk remains that performance could swing significantly depending on fluctuations in the market environment.

Selling, general and administrative expenses continued to rise, reaching ¥77,105 million (up 7.9% year on year), driven primarily by personnel expenses (¥35,707 million, +8.7%) and transaction-related expenses (¥16,237 million, +12.2%). The SG&A-to-net operating revenue ratio remained high at 83.9%, making a significant improvement in profit margin unlikely even amid a phase of revenue expansion. The operating margin improved to 15.2% (from 13.6% in the prior period), but it should be noted that this improvement stems largely from revenue expansion due to favorable market conditions rather than from improvements in the cost structure.

The annual dividend for FY2026 (ending March 2026) was set at ¥50 (ordinary dividend of ¥34 plus a commemorative dividend of ¥16), with total dividends of ¥12,640 million and a consolidated payout ratio of 76.0% (51.7% on an ordinary dividend basis), reflecting an active shareholder return policy. During the medium-term management plan period, the company maintains a policy of applying whichever is higher between a consolidated payout ratio of 50% or more or an annual dividend of ¥24 or more per share. However, the dividend forecast for FY2027 (ending March 2027) remains undetermined, and combined with the non-disclosure of earnings forecasts, the future level of shareholder returns is heavily dependent on market conditions. Growth Strategy

Under "Beyond Our Limits," the company pursues growth through three pillars: strengthening its wealthy-client business, collaboration with Powerful Partners, and digital financial services

Centered on the wealthy-client brand "Orque d'or," the company offers securities-backed loans and asset portfolio models. It is advancing service sophistication through improved marketing skills and digitalization (Strategy 2.0). For the semi-wealthy and upper-mass segments, it is rolling out the "Clair Ciel Strategy," providing comprehensive financial and non-financial services. Assets under custody reached ¥13.4 trillion.

Through partnerships with regional banks, electric power, telecommunications, trading companies, and others, the company is acquiring comprehensive financial services beyond mere securities functions. It is advancing the deepening of JV Model 2.0, including the introduction of an intermediary-type business model and the expansion of services for wealthy clients and corporations. Equity in earnings of affiliates accounted for by the equity method grew from ¥177 million to ¥1,259 million, making the revenue contribution of the alliance network increasingly evident.

Through CHEER Securities Co., Ltd. (which absorbed and merged with TT Digital Platform in April 2025), the company is advancing the provision of advanced financial services. Through a capital and business alliance with Trade Works Co., Ltd. and other initiatives, it is promoting improved sales productivity and operational efficiency utilizing digital tools and AI. In the digital domain, the company is accelerating selection and concentration of resources.

Through collaboration with STATION Ai, a capital alliance with SDF Capital Co., Ltd., the establishment of the Tokai Region Revitalization Fund, and other initiatives, the company is building and strengthening its startup support framework. It aims to diversify revenue sources by creating new businesses and functions that serve as new gold mines (New Bonanza). It recorded a gain on sale of affiliated company shares of ¥1,432 million as extraordinary income.

The company is strengthening its sustainability initiatives centered on climate change, human capital, and well-being. It has been continuously included in the FTSE Blossom Japan Index, and has obtained an FTSE rating of "3.8," an MSCI rating of "BBB," and a CDP rating of "B." It is promoting support for employee challenges through the Position Challenge System, the Humanity Enhancement Program, and other initiatives.
