Governance
The company is structured as a company with an Audit and Supervisory Committee, comprising 10 directors, of whom 5 outside directors serve on the Audit and Supervisory Committee. A Nomination and Compensation Committee has been established as an advisory body to the Board of Directors to strengthen independence and objectivity.
Risk Management
The company has established a Risk Management Committee chaired by the President, which manages risks across the entire group based on the Basic Risk Management Policy and Regulations. In April 2025, a VUCA Issues Review Committee was newly established, under which the Sustainability Subcommittee was relocated, thereby building a cross-departmental system to address new management issues, including environmental and social risks.
Shareholder Returns
For FY2026 (ending March 2026), the dividend per share is ¥26 (an increase of ¥8 year on year), with total dividends of ¥384 million and a payout ratio of 36.0%. The forecast for FY2027 (ending March 2027) is ¥30 (a further increase of ¥4). Share buybacks are also being continued (¥110 million acquired in the current period).
Dividend Policy
The basic policy is to maintain a stable dividend level, with a single year-end dividend paid once per year (no interim dividend). For FY2025 (ending March 2025), the dividend was ¥18 (total ¥269 million, payout ratio 36.2%), and for FY2026 (ending March 2026), it is ¥26 (total ¥384 million, payout ratio 36.0%). The year-end dividend for FY2026 (ending March 2026) was revised upward from the initially planned ¥18 to ¥26. The forecast for FY2027 (ending March 2027) is ¥30 (payout ratio forecast at 38.6%).
ESG
The company has established contribution to the achievement of the SDGs as its basic policy, managing environmental and social issues through the Sustainability Subcommittee under the VUCA Issues Review Committee. In terms of human capital, guided by its management philosophy of being a "company worth working for," it has achieved diversity assurance and expanded training programs (904 hours of new graduate training, 1,394 hours of management training) and a 100% health checkup participation rate, but its employment rate of persons with disabilities stands at 1.6%, below the statutory rate of 2.5%, and the company is paying the associated levy.
