Governance
The company operates as a company with an audit and supervisory committee, with a board of nine directors (three of whom are outside directors). It has established voluntary nomination and compensation committees, with an independent outside director serving as chairperson to ensure objectivity and transparency in the appointment/dismissal of directors and compensation decisions.
Risk Management
The Compliance & Risk Management Committee, chaired by the President, oversees risk across the entire group, while the Sustainability Committee manages sustainability-related risks. Shareholder Returns
The basic policy is to pay stable and continuous dividends with a target payout ratio of 40%, distributed twice a year (interim and year-end). The annual dividend for FY2024 was ¥130 per share (including a ¥10 commemorative dividend for the 110th anniversary of the company's founding), with total dividend payments of ¥1,171 million (interim) and ¥1,240 million (year-end, planned). Share buybacks can also be conducted flexibly under the authority of the Board of Directors.

ESG
The company is advancing climate change response based on TCFD recommendations (targeting a 50% reduction in CO₂ emissions by 2030, Scope 1-2) and human capital management (2030 targets including a 25% ratio of female managers and an 85% male childcare leave uptake rate). The Sustainability Committee, chaired by the President and Representative Director, oversees efforts on materiality issues under the supervision of the Board of Directors.
