Governance
The company has an Audit and Supervisory Committee structure. The Board of Directors consists of 7 members, with 4 outside directors constituting a majority. A Nomination and Compensation Committee (advisory body) has been established, chaired by an outside director. The Board of Directors met 16 times during the fiscal year under review, with a 100% attendance rate by all members.
Risk Management
The Company has established Risk Management Regulations and Credit Management Regulations, building a system in which each department collects risk information and reports it at an early stage. The Internal Audit Office (2 members) and the Audit and Supervisory Committee audit consistency with these regulations, and the Company has also put in place BCP formulation and collaboration with outside experts (lawyers, certified public accountants, etc.). The Sustainability Promotion Committee identifies and evaluates risks related to climate change, human capital, and social issues, and reports to the Board of Directors under this framework.
Shareholder Returns
The annual dividend forecast for FY2026 (ending September 2026) has been revised to ¥30 per share (an increase of ¥4 year on year). This consists of an interim dividend of ¥0 and a year-end dividend of ¥30, paid once annually. The dividend forecast has been revised from the most recently announced figure. A disposal of treasury shares (200,000 shares) was carried out in January 2026.
Dividend Policy
The basic policy is to pay stable and continuous dividends from surplus, targeting a payout ratio of 30% or more and DOE of 3% or more. The company's basic approach is to pay dividends once annually at fiscal year-end, and the annual dividend forecast for FY2026 (ending September 2026) is ¥30 per share (interim ¥0, year-end ¥30). The actual dividend for the previous fiscal year was ¥26 per share (total dividends of ¥78,432 million). In January 2026, the company carried out a third-party allotment disposal of 200,000 treasury shares to the Amifa Design Art Foundation (public interest incorporated foundation).
ESG
Under the Sustainability Promotion Committee established in October 2021, the company is advancing the development of 3R-compliant products, the reduction of waste losses, and the construction of a sustainable supply chain. In terms of human capital, the ratio of female managers has reached 53.8%, and the ratio of managers hired mid-career stands at 100%. The company obtained Kurumin certification (January 2022). Quantitative indicators and targets related to climate change and human resources have not yet been established.
