Business
Noritsu Koki Co., Ltd. traces its origins to a photo processing equipment manufacturer founded in 1961. Following its transition to a holding company structure in 2011, it fundamentally restructured its business portfolio. It now comprises two core pillars: the Manufacturing (Audio Equipment) business, featuring AlphaTheta (DJ equipment) and JLab (personal audio), and the Manufacturing (Parts & Materials) business, comprising Teibow, Hamamatsu Metal Works, and soliton corporation. Consolidated revenue for FY2025 (ending December 2025) was ¥119,223 million. In February 2026, the company acquired Senqcia Corporation, further expanding the Parts & Materials segment. The group brings together operating companies with globally competitive technological capabilities under its umbrella, with each company aiming to become a top-leading enterprise in its respective market.
Business Model
As a holding company, the group supports the autonomous growth of its subsidiary operating companies while pursuing non-continuous growth by acquiring new business areas through M&A. In Audio Equipment, AlphaTheta operates a fabless model (outsourced manufacturing purchases of ¥42,177 million), focusing on R&D, design, and sales, while JLab expands its sales channels through e-commerce and expansion outside the US. In Parts & Materials, companies such as Tebo handle in-house production. The group uses business EBITDA as its key management metric, and while maintaining financial discipline by keeping the net interest-bearing debt to EBITDA ratio within 3x, it pursues both growth investment and shareholder returns (total payout ratio of 50% or more).
Company Strengths
In the Audio Equipment segment for FY2025 (ending December 2025), revenue reached ¥107,478 million (up 13.7% year on year), achieving a business EBITDA margin of 22.5%. Driven by ATC's expansion of professional and entry-level products and JLab's expansion outside the U.S. and EC growth, the segment forms a stable earnings base as a core business accounting for approximately 90% of Group revenue.
At the end of FY2025 (ending December 2025), cash and cash equivalents stood at ¥97,399 million (¥81,754 million domestic plus ¥15,645 million overseas), in addition to ¥24,141 million of unused credit line capacity. Net debt was negative ¥85,361 million, representing a net cash position, and the company maintains sound financial health, with an estimated Net Debt/business EBITDA ratio of 0.1x even after the acquisition of Senqcia (enterprise value of approximately ¥80.0 billion).
Following the acquisition of Taibo in 2015, AlphaTheta in 2020, and JLab in 2021, the company completed the acquisition of Senqcia (revenue of ¥35.4 billion, EBITDA margin of 26%) in February 2026. This demonstrates a track record of transforming the portfolio from its founding photo processing equipment business toward highly profitable Manufacturing operations.
ENVALITH's Perspective
Performance Trend
Revenue over the past five fiscal years expanded steadily from ¥75,326 million (FY2021) to ¥119,223 million (FY2025), but growth accelerated sharply in Q1 of FY2026 (ending December 2026), reaching ¥40,319 million (up 48.2% year on year). This was primarily driven by the combined effect of the rapid expansion of the Parts & Materials segment (up 242.1% year on year) following Senqcia Corporation's addition to the group (February 2026), and continued growth in demand for Audio Equipment (up 25.7% year on year). Business EBITDA also accelerated to ¥10,709 million (up 60.9% year on year), and operating profit reached ¥8,413 million (up 60.5% year on year). Quarterly profit attributable to owners of the parent achieved ¥5,645 million, up 100.6% year on year. Among external factors, expansion of the music and entertainment market and increased capital expenditure for semiconductors and data centers have provided tailwinds, while geopolitical risks such as the situation in the Middle East and foreign exchange volatility remain sources of uncertainty for the second half.
Growth Strategy
In its Medium-Term Management Plan through FY30, the company aims for an organic growth CAGR of 10% or more, combined with inorganic growth via M&A, to achieve ROE of 10%.
ATC (AlphaTheta) continues to expand sales across regions, while JLab drives expansion into markets outside the U.S., broadens product categories, and strengthens EC sales. In Q1 FY2026 (ending March 2026), Audio Equipment revenue reached ¥30,632 million (up 25.7% year-on-year), maintaining a high business EBITDA margin of 28.7%. The company is achieving both revenue and profit growth while executing upfront investments and marketing costs as planned.
Senqcia, which became a wholly owned subsidiary on February 2, 2026, has been integrated into the Parts & Materials segment. The company leverages Senqcia's No.1/Only1 product lineup in building structural components and floor components to capture demand from clean rooms, data centers, and semiconductor capital investment. For the portion contributed since the acquisition date in Q1, revenue of ¥6,721 million and quarterly profit of ¥937 million were recorded, confirming revenue contribution from the early stage of integration. The fair values of acquired assets and liabilities are provisional and subject to revision during the measurement period.
The Medium-Term Management Plan through FY30 explicitly sets out discontinuous growth through M&A in adjacent businesses and new areas as a strategy. The Senqcia acquisition is a concrete example of this execution, simultaneously achieving expansion into adjacent areas of the Parts & Materials segment and building a new growth pillar. The company continues to maintain the potential for additional M&A, leveraging its ample equity capital (¥228,535 million) and flexible borrowing capacity.
Improving ROE (return on equity) is set as a key metric in the Medium-Term Management Plan through FY30. Quarterly profit attributable to owners of the parent in Q1 FY2026 (ending March 2026) improved significantly to ¥5,645 million (up 100.6% year-on-year). The full-year forecast calls for profit attributable to owners of the parent of ¥16,800 million (up 7.4% year-on-year). Changes in capital efficiency need to be monitored closely due to increased goodwill and expanded borrowings associated with the Senqcia acquisition.
