Governance
The company has adopted the Company with an Audit and Supervisory Committee structure, with the Board of Directors comprising a total of 7 members: 3 directors (excluding Audit and Supervisory Committee members) and 4 Audit and Supervisory Committee members (including 3 independent outside directors) (expected to total 8 members following approval at the 80th Ordinary General Meeting of Shareholders). The company has established an executive officer system and voluntary nomination and compensation committees to enhance transparency and agility.
Risk Management
A Risk and Compliance Committee, chaired by the Representative Director and President, analyzes and evaluates business risks, including sustainability-related risks, and reports to the Board of Directors. The company has established a Compliance Promotion Office and a whistleblowing system through a Corporate Ethics Helpline (with dual contact points, both an internal desk and an external attorney), and also conducts periodic internal audits of subsidiaries.
Shareholder Returns
The company's basic policy is stable shareholder returns based on a target dividend payout ratio of 40% and a minimum DOE (dividend on equity) of 2.0%. The interim dividend for FY2026 (ending September 2026) is ¥7.50 per share (post stock split), with a full-year forecast of ¥89.00 per share. The shareholder benefit program (for shareholders holding 100 shares or more) also continues.
Dividend Policy
The company implements stable and continuous shareholder returns based on a target dividend payout ratio of 40%, with a minimum DOE (dividend on equity ratio) of 2.0%. A stock split at a ratio of 2 shares for every 1 share of common stock was implemented effective October 1, 2025. The interim dividend for FY2026 (ending September 2026) is ¥7.50 per share (post stock split), with a year-end dividend forecast of ¥81.50 and a full-year dividend forecast of ¥89.00. Note that the annual dividend for FY2025 (ended September 2025) was ¥174.00 per share (actual, pre stock split).
ESG
The company has established a Sustainability Management Committee and a Promotion Committee to advance ESG management. In terms of human capital, based on the basic policy of 'developing self-directed human resources,' it has established training programs, qualification support, and a skill certification system, disclosing achievements such as a 100% compliance training completion rate, a 73.2% paid leave utilization rate, and a 40% ratio of female new graduate hires. On the environmental side, the company is working on CO2 reduction (such as switching to LED lighting and eco-friendly vehicles) and proposing environmentally conscious products, while also implementing DX support and disaster resilience support for local communities.
