Governance
The company has a Board of Corporate Auditors. The Board of Directors consists of 4 members, of whom 3 are outside directors (outside director ratio of 75%), and all 3 corporate auditors are outside corporate auditors. Regular board meetings are held once a month, and an executive officer system (4 members) separates decision-making and supervisory functions from business execution functions. There is no mention in the securities report of the establishment of a nomination committee or a compensation committee.
Risk Management
The Company has established a Risk Management Committee headed by the President and Representative Director, holding regular monthly meetings. Under the Executive Officer in charge of the Administration Department, the Administration Department takes the lead in identifying and deliberating on material risks, and a system has been put in place for regularly sharing information with the Board of Directors. Two internal audit personnel conduct operational audits covering all departments and subsidiaries, reporting the results directly to the President and Representative Director, the Board of Directors, and the Board of Corporate Auditors.
Shareholder Returns
For FY2026 (ending August 2026), a year-end dividend of ¥10 (annual) is planned, unchanged from the previous fiscal year's actual result (¥10). No dividend is planned at the second-quarter-end, and the policy of paying dividends once annually as a year-end dividend of ¥10 continues. Share buybacks were conducted in the previous fiscal year but none are planned for the current fiscal year.
Dividend Policy
The basic policy is to pay dividends once annually as a year-end dividend. The annual dividend forecast per share for FY2026 (ending August 2026) is ¥10 (year-end only). The actual result for the previous fiscal year (FY2025, ended August 2025) was also ¥10 annually (¥10 year-end), with no change to the dividend forecast. Total dividends paid in the previous fiscal year amounted to ¥87 million (converted from figures stated in thousand-yen units).
ESG
Established four materiality themes: "Design with Governance," "Design for Talent," "Design for Society," and "Design for Partner." On the human capital front, the company has achieved a 100% childcare leave utilization rate (both male and female employees) and has established e-learning, language training, and certification support programs. On the environmental front, the company has promoted paperless operations and introduced carbon offsetting. Since FY2020 (ending March 2020), the company has continued social contribution activities allocating 1% of profit to donations and pro-bono design support. Specific numerical targets have not yet been set at this time.
