Governance
The company transitioned from a company with a board of corporate auditors to a company with an audit and supervisory committee in June 2025. It has established the "Executive Personnel Proposal Drafting Committee" and the "Compensation Proposal Drafting Committee," in which outside directors hold a majority, promoting stronger oversight functions of the Board of Directors and delegation of authority to the executive side.

Dividend Policy
The policy is to pay stable and continuously increasing dividends, distributed twice a year through interim and year-end dividends. For FY2026 (ending March 2026), the annual dividend per share is ¥95 (interim ¥45, year-end ¥50), with total dividends of ¥1,238,224 million and a payout ratio of 32.1%. The forecast for FY2027 (ending March 2027) is an annual dividend of ¥100 (interim ¥50, year-end ¥50), with a forecast payout ratio of 39.8%.
ESG
Under the 'Toyota Environmental Challenge 2050,' the company has set a goal of carbon neutrality by 2050 and is promoting GHG reduction through a multi-pathway strategy (BEV, HEV, hydrogen, carbon-neutral fuels, etc.). Its reduction targets for Scope 1, Scope 2, and Scope 3 Category 11 have received SBTi certification. In terms of human capital, the company has set a target of increasing the number of female managers fivefold by 2030 (actual result of 4.5x in FY2025) and a target of 85% or higher for the male childcare leave uptake rate, while also working on DE&I and respect for human rights.
