Private capital investment, the company's principal market, remains uncertain amid downside economic risks stemming from U.S. trade policy and declining personal consumption due to continued inflation, with capital investment trends in the automotive, industrial machinery, steel-frame construction, construction machinery, and security industries constituting key risk factors. In addition, intensifying price competition with rivals and a shift in demand toward lower-priced products could materially affect operating results. As countermeasures, the company is promoting business portfolio management, cost reduction through operational automation utilizing digital technology, and value-added enhancement through the provision of DX solutions for manufacturers.
Sustainability Response Risk
Amid the deepening of social issues such as climate change, environmental problems, and human rights violations, requests from stakeholders for sustainability responses are intensifying, and if the Group's initiatives are deemed insufficient, this could result in impairment of corporate value and a decline in competitiveness due to selection by customers. As countermeasures, the Group has established five materialities under its "Sustainability Basic Policy" and is promoting company-wide responses to these issues centered on the Sustainability Committee, chaired by the Representative Director and President.
Legal and Compliance Risk
The Group, which conducts business both domestically and internationally, is subject to a wide range of laws and regulations, including export/import restrictions and trade regulations related to national security, antitrust regulations, and employment, human rights, and environmental laws, and unexpected non-compliance could result in a loss of social trust and affect business performance and financial condition. As countermeasures, the Group has established the Group Philosophy and Compliance Manual, conducts regular monitoring of legal compliance status, and has set up internal and external "Compliance Lines" along with whistleblower reporting regulations.
Information Security Risk
If appropriate information security measures are not taken, risks may increase, including system outages caused by malicious third parties, misuse of the company's own servers to attack other companies, and loss of business opportunities due to detection of significant security issues in the company's own products. As countermeasures, the company has established related regulations such as the "Information Security Policy," conducts regular e-learning and targeted phishing email training, strengthens access control systems, builds backup systems, and enhances security for telework environments.

The Group's medium- to long-term growth as a trading company depends significantly on the capabilities of individual employees; however, competition for talent is intensifying due to labor shortages caused by the declining birthrate and aging population, raising the risk of difficulty securing excellent talent as planned or losing talent outside the Group. As countermeasures, in addition to strengthening career recruitment, alumni recruitment, referral recruitment, and securing foreign national talent, the Group is promoting reviews of its personnel and training systems, enhancing benefits, and reforming the workplace environment to support work-life balance.
Disaster and Business Continuity Risk
If a large-scale natural disaster (earthquake, tsunami, flood, etc.), accident (fire, explosion, etc.), or infectious disease occurs in the regions where business locations are situated, this could result in human and physical damage and loss of business opportunities, affecting business performance and financial condition. As countermeasures, the Group has established a Crisis Response Headquarters structure under the direction of the Representative Director and President as stipulated in the "Crisis Management Regulations," and is promoting the development of BCPs and strengthening cooperation among business locations.
Strategic Investment and M&A Risk
In strategic investments such as the sophistication of manufacturing and logistics facilities and corporate acquisitions, alliances, and business transfers, risks exist including unexpected outcomes due to insufficient information, dissolution of alliances due to misalignment of interests between parties, and failure to achieve expected results in business, technology, and personnel integration. As countermeasures, the Group has established a system for verifying financial validity, profitability, and growth risks in light of the cost of capital, along with a prior deliberation framework by project teams of specialized members, in order to improve the speed and accuracy of investment decisions.
Risk of Failure to Achieve Medium-Term Management Plan
The medium-term management plan "UNISOL," formulated in March 2022, presents a roadmap for achieving quantitative and profitability targets for the fiscal year ending December 2026; however, misjudgment of changes in the business environment or the materialization of various risks could necessitate plan revisions, affecting business performance. As countermeasures, the Group has strengthened its progress management system for medium-term business strategy through the setting of KPIs for each business segment, and when delays occur in strategy execution, it works to increase the probability of achieving the plan through advance allocation of management resources and strengthening of the organizational structure.
Risk of Industrial Accidents and Serious Traffic Accidents
If industrial accidents such as being caught in or entangled with machinery occur in manufacturing operations, or if serious traffic accidents occur in sales operations, this could disrupt production and sales activities due to loss of social credibility, brand damage, loss of personnel, monetary compensation, and litigation, thereby affecting business performance and financial condition. As countermeasures, the Group conducts risk assessments in manufacturing operations, and in sales operations, works to prevent traffic accidents through safe driving seminars, individual guidance, and the establishment of monitoring systems.
