Governance
Strengthened the board's oversight function as a company with an Audit and Supervisory Committee. The ratio of outside directors exceeds a majority (56%), and the ratio of female directors reached 30%, with voluntary Nomination Committee and Compensation Committee established. The board of directors met 15 times per year, with a 100% attendance rate for all members.
Risk Management
The Group Risk Management System is operated with the Internal Control Committee at its core. Climate change risk is managed by the executive officer responsible for safety and the environment through the Compliance Subcommittee and the Risk Management Subcommittee. Human capital risk is also managed centrally under this system, and supply chain continuity is secured through the formulation of BCPs.
Shareholder Returns
Dividends are positioned as the primary means of shareholder returns, with a target payout ratio of 30% and a DOE (Dividend on Equity) of 3.5%. For FY2026 (ending March 2026), the annual dividend is ¥90 (interim ¥45, year-end ¥45), with total dividends of ¥11,240 million, a payout ratio of 76.0%, and a DOE of 3.8%. An annual dividend of ¥90 is also planned for FY2027 (ending March 2027). Share buybacks will also be conducted as needed with the aim of improving capital efficiency.
Dividend Policy
The Company aims to achieve a payout ratio of 30% and a DOE (Dividend on Equity) of 3.5%, striving for stable increases in dividends through growth in earnings per share. Dividends are paid twice a year (interim and year-end) based on a comprehensive assessment of business performance and financial soundness. For FY2026 (ending March 2026), the annual dividend is planned at ¥90 (payout ratio of 76.0%, DOE of 3.8%), with an annual dividend of ¥90 also planned for FY2027 (ending March 2027).
ESG
In response to climate change, the company supports the TCFD recommendations and has set targets to reduce Scope 1+2 emissions by 42% by FY2030 (versus FY2020), achieve a 100% renewable energy adoption rate by FY2040, and attain carbon neutrality by FY2050. It has already obtained SBTi Near-Term Target certification. In terms of human capital, the company positions "HR Well-being" as a management indicator, achieving a female manager ratio of 7.7% (target of 10% or more by FY2030), a male childcare leave uptake rate of 83%, and a new graduate female hiring rate of 30.8%. A Sustainability Committee (meeting four times a year) has been established to report to the Board of Directors.
