Governance
The company has adopted the Audit and Supervisory Committee structure, with the Board of Directors comprising 6 members (including 2 outside directors). The Board of Directors meets once a month, and decision-making and business execution are separated through an executive officer system.
Risk Management
Risk management is carried out by each business division and department, and the Compliance Committee formulates cross-organizational risk response policies. A framework has been established for regular reporting to the Board of Directors, with the Internal Audit Office assisting the Audit and Supervisory Committee.
Shareholder Returns
From FY2027 (ending March 2027), the shareholder return policy will be raised to "consolidated payout ratio of 50% or more and DOE of 3.0% or more." Dividend per share for FY2026 (ending March 2026) was ¥89 (interim ¥35 + year-end ¥54), with a payout ratio of 45.2%. For FY2027 (ending March 2027), a dividend of ¥105, including a special dividend of ¥3, is planned. During the fiscal year, share buybacks of ¥513 million were conducted.
Dividend Policy
From FY2027 (ending March 2027), the shareholder return policy has been revised to target "a consolidated payout ratio of 50% or more and DOE of 3.0% or more" (previously a consolidated payout ratio of 45% or more and DOE of 2.5% or more). Dividends are paid twice a year (interim and year-end). For FY2026 (ending March 2026), the actual dividend per share was ¥89 (interim ¥35 + year-end ¥54), with a payout ratio of 45.2%. For FY2027 (ending March 2027), a dividend per share of ¥105 (interim ¥40 + year-end ¥65), including a special dividend of ¥3 associated with the sale of cross-shareholdings, is planned, with a payout ratio expected to be 51.8%.
ESG
The Corporate Governance Basic Policy explicitly states the promotion of SDGs and the ensuring of diversity, and the company works to reduce environmental impact through CO2 reduction and waste reduction, among other initiatives. On the human resources front, the company has implemented HR system reforms, promotion of childcare leave (100% utilization rate among female employees), work-from-home arrangements, and a flextime system, achieving a 100% return-to-work rate after childcare leave.
