Company with a Board of Corporate Auditors. The Board of Directors consists of 7 members (including 3 outside directors, all of whom are independent officers), and an executive officer system has been introduced to separate management from execution. Since 2019, a voluntary nomination and compensation advisory committee, in which outside officers constitute a majority of members, has been established. The accounting auditor changed from Deloitte Touche Tohmatsu LLC to KPMG AZSA LLC in May 2025.
Risk Management
The company has established a "Risk Management Committee" chaired by the President to identify, assess, and mitigate risks across the entire group. Sustainability risks are managed through collaboration between the Risk Management Committee and the Sustainability Committee, with a structure in place to integrate and report such risks into company-wide risk management as needed. A Compliance Committee (including external lawyers), an internal whistleblowing system (Furuno Hot Line), and a Business Continuity Plan (BCP) have also been established.

ESG
Conducted TCFD-compliant scenario analysis (1.5°C and 4°C scenarios) and is promoting the "Furuno Carbon Neutral Program," targeting a 50% reduction in Scope 1 and 2 CO2 emissions by FY2030 (ending March 2031) compared to FY2013 (ended March 2014) levels, and carbon neutrality by 2050. In terms of human capital, the company has been certified as an "Excellent Enterprise of Health and Productivity Management (White 500)" for 7 consecutive years, and has set KPIs such as a female managerial staff ratio of 6% or higher and a male employee childcare leave take-up rate averaging 50% or higher over 5 years, while establishing a new D&I Promotion Section and strengthening diversity management. The company has identified materiality themes including ocean and global environmental conservation, protection of marine resources, regional community development, and DX utilization, and is advancing initiatives linked to the SDGs.
