Governance
A company with an Audit and Supervisory Committee. The Board of Directors consists of 7 members (4 directors who are not Audit and Supervisory Committee members plus 3 outside directors who are Audit and Supervisory Committee members), with outside directors accounting for 3/7 (approximately 42.9%) of the Board. A voluntary Nomination and Compensation Committee (Chairperson: outside director Fumio Takemura) has been established as an advisory body to the Board of Directors to ensure transparency and objectivity in the nomination and compensation processes.
Risk Management
The company has established a risk management framework under the President, with the Head of the Group Internal Audit Office serving as the risk management officer, and information is shared at management meetings. A Compliance Committee (held quarterly) has been set up, with "Compliance First" as its policy. The company has also established information risk management through an Information Security Committee, operates a Speak Up System (internal whistleblowing system), and has built a collaborative framework with external experts (lawyers, certified public accountants, etc.).
Shareholder Returns
At the Annual General Meeting of Shareholders in March 2026, a year-end dividend of ¥35 per share (total of ¥154 million) was implemented. For FY2026 (ending December 2026), a dividend of ¥40 per share (paid as a single year-end distribution) is planned, an increase of ¥5 year on year. The projected dividend payout ratio against the full-year earnings forecast (net income of ¥1,050 million) is approximately 17.5%.
Dividend Policy
The year-end dividend for FY2025 (ending December 2025) is ¥35 per share (total of ¥154 million, effective March 25, 2026). For FY2026 (ending December 2026), a total of ¥40 is planned, consisting of ¥0 at the second-quarter end and ¥40 at year-end (an increase of ¥5 year on year). There is no change to the dividend forecast.
