Governance
As a company with an audit and supervisory committee, the Board of Directors consists of 10 directors (including 6 outside directors, with independent outside directors forming a majority), promoting separation of oversight and execution through the executive officer system. The company has established a voluntary nomination and compensation committee, chaired by an independent outside director, to ensure transparency and objectivity.
Risk Management
The company has built a company-wide risk management framework through the Risk Management Committee, with the Sustainability Promotion Department responsible for extracting and identifying sustainability-related risks. The BCM Committee has also established a crisis response framework for natural disasters, geopolitical risks, and similar matters.
Shareholder Returns
The basic policy is to pay appropriate dividends linked to business performance, and for FY2026 (ending March 2026), the company implemented an interim dividend of ¥47 and a year-end dividend of ¥110 (total ¥157), for a payout ratio of 30.1%. Dividends for FY2027 (ending March 2027) are undecided at this time. A small amount of share buybacks was conducted during the period (¥8 million).
Dividend Policy

ESG
The company conducted a climate change scenario analysis based on TCFD recommendations, setting a target of a 50% reduction in Scope 1+2 emissions by FY2030 (compared to FY2019 levels) and carbon neutrality by 2050, and has obtained SBT certification. In terms of human capital, the company has been selected as a Certified Health & Productivity Management Outstanding Organization 2026 (White 500) and a Health & Productivity Stock 2026, and is working to promote DEI and enhance employee engagement.
