Governance
Transitioned to a company with an audit and supervisory committee in June 2026. The Board of Directors consists of 6 members in total: 3 directors (excluding audit and supervisory committee members) and 3 directors who are audit and supervisory committee members, of which 3 outside directors (3 independent officers) account for half. An executive officer system has been introduced to separate supervision from execution. A voluntary nomination and compensation committee (comprising 3 outside directors and 1 representative director and chairman, 4 members in total) has been established to strengthen management oversight functions.
Risk Management
The President serves as the officer directly responsible for overseeing risk management, and important matters are addressed with advice from third parties such as legal counsel and the accounting auditor. In the event of an unforeseen incident, an "Emergency Response Headquarters" is established under the President's direction to gather information, disclose findings, and work to prevent recurrence. Regarding sustainability risks such as climate change and human rights, the company is building a system in which the Board of Directors and the Management Committee regularly monitor these risks and discuss countermeasures.
Shareholder Returns
For FY2026 (ending March 2026), dividend per share is ¥35 (interim ¥15, year-end ¥20), an increase of ¥1 year-on-year. Payout ratio is 68.7%. A large-scale share buyback (¥3,228 million) was conducted, and the total shareholder return ratio rose sharply. A ¥35 dividend is also forecast for FY2027 (ending March 2027).
Dividend Policy
The annual dividend per share for FY2026 (ending March 2026) is ¥35 (interim ¥15, year-end ¥20), an increase of ¥1 from the prior period (¥34). The payout ratio is 68.7%, and the dividend-to-net-assets ratio is 2.9%. For FY2027 (ending March 2027), an annual dividend of ¥35 (interim ¥15, year-end ¥20) is also forecast, with an expected payout ratio of 62.0%. During the current period, the company acquired 1,797,500 shares of treasury stock (¥3,228 million) in August 2025 following the termination of the capital and business alliance, and also introduced share benefit trusts (BBT-RS and J-ESOP). The number of treasury shares at period-end increased substantially to 1,802,352 shares (from 20,609 shares at the end of the prior period).
ESG
Under its vision of building a sustainable society and global environment through food, the company is working on developing labor- and effort-saving products, reducing food waste, and pursuing universal design in the environmental domain. In terms of human capital, it is promoting HR system reform, introducing talent management, and developing a hierarchical training system, achieving a training participation rate of 98.4%, a health checkup participation rate of 98.5%, and a stress check collection rate of 100% in FY2025. Going forward, the company is considering establishing a sustainability committee.
