Governance
The company operates as a company with an Audit and Supervisory Committee, comprising 10 directors (of which 5 are outside directors). It has established a Nomination and Compensation Committee, ensuring independence and objectivity by having independent outside directors constitute a majority of its members.
Risk Management
The Risk Management Committee, established in April 2022 and chaired by the President and Representative Director with 14 members, comprehensively manages market, credit, country, investment, environmental and social risks, among others, and reports deliberation results to the Board of Directors. Sustainability risks are also identified and assessed by this committee and integrated into the Group's overall risk management.
Shareholder Returns
Based on the medium-term management plan (FY2024–FY2027), the company implements stable dividends targeting either a DOE of 3.5% or a payout ratio of 60%, whichever is higher. For FY2024, the interim dividend was ¥45 and the year-end dividend ¥60 (annual total ¥105); for FY2025, the interim dividend is planned at ¥45 and the year-end dividend at ¥45 (annual total ¥90). Share buybacks are conducted flexibly based on a comprehensive assessment of financial conditions, stock price levels, and other factors.
Dividend Policy
With the aim of achieving stable and continuous enhancement of shareholder dividends, the company pays dividends twice a year (interim and year-end), targeting either a DOE of 3.5% or a payout ratio of 60%, whichever is higher. The FY2025 year-end dividend is planned at ¥45 per share (total dividend amount of ¥680,588 thousand).
ESG
On the environmental front, the company is contributing to the lithium-ion battery and next-generation solar cell fields and promoting CO2 reduction; on the social front, it is advancing human resource development, the establishment of diverse working styles, and sponsorship of local sports. As human capital indicators, it has set a target of zero workplace accidents (3 actual cases in FY2025) and per-capita training investment of ¥80,000 or more (actual ¥104,011 in FY2025), and is also working to improve sustainability performance through participation in EcoVadis.
