Governance
The company employs an audit & supervisory board system, comprising 6 directors (2 of whom are outside directors) and 3 audit & supervisory board members (2 of whom are outside members). Under the executive officer system, decision-making and business execution are separated, and a Nomination and Compensation Advisory Committee has been established as an advisory body to the Board of Directors.
Risk Management
The company has established a Risk & Compliance Committee headed by the Representative Director, which coordinates with individual committees for quality, environment, safety and health, and cybersecurity to prevent, avoid, and manage risks. The Sustainability Promotion Committee operates a PDCA cycle whereby company-wide risks, including climate change risk, are regularly reported to the Board of Directors.
Shareholder Returns
The basic policy is a payout ratio of 50%. The annual dividend for the current period is ¥90 per share (interim ¥40 + year-end ¥50), with a payout ratio of 50.3%. A substantial dividend increase to an annual ¥190 (interim and year-end ¥95 each) is planned for the next fiscal year. Share buybacks were also carried out (¥2,374 million during the current period).
Dividend Policy
The basic policy targets a payout ratio of 50%, with dividends paid twice a year through interim and year-end distributions. The annual dividend for FY2026 (ending March 2026) is ¥90 per share (interim ¥40 + year-end ¥50), with total dividends of ¥7,928 million and a payout ratio of 50.3%. For FY2027 (ending March 2027), interim and year-end dividends of ¥95 each are planned, for an annual total of ¥190 (expected payout ratio of 50.6%). Retained earnings are allocated to growth investments such as next-generation product development and building production systems.
ESG
The company has set long-term targets of a 46% reduction in Scope 1 and 2 CO₂ emissions by FY2030 (compared to FY2013), and Scope 1 and 2 carbon neutrality along with an 80% reduction in Scope 3 emissions by 2050 (compared to FY2021). In April 2025, it newly established the "Sustainability Promotion Department," and together with the "FUJI Group Human Rights Policy" and "Ethics and Compliance Policy" formulated in FY2024, is strengthening the foundation of ESG management.
