Governance
A company with a Board of Corporate Auditors, consisting of 10 directors (7 internal, 3 outside) and 3 corporate auditors (all outside). The outside director ratio is 30%. The company has established a Compliance Committee and a Crisis Management Committee, and holds monthly regular Board of Directors meetings and Management Committee meetings to ensure prompt decision-making. No Nomination Committee or Compensation Committee has been confirmed to exist.
Risk Management
The Risk Management Committee serves as the core body to enable early detection and rapid response to emerging risks, thereby preserving management stability. Regarding product quality and safety, the company thoroughly manufactures products based on external inspection body standards, and conducts full inspection of all gas combustion products. Sustainability risks are also managed centrally by this committee, which evaluates and reviews the qualitative and monetary materiality of risks on a monthly basis.
Shareholder Returns
Forecasting an annual dividend of ¥125 (interim ¥60 + year-end ¥65), maintaining the same amount as the previous fiscal year's actual result of ¥125 (interim ¥55 + year-end ¥70). As a subsequent event, 11,500 treasury shares (at ¥3,800 per share) were disposed of as restricted stock compensation to seven directors.
Dividend Policy
The annual dividend forecast for FY2027 (ending February 2027) is ¥125 (¥60 at the end of Q2 + ¥65 at year-end). This is the same amount as the previous fiscal year's actual result of ¥125 (interim ¥55 + year-end ¥70). Details of the dividend policy are not included in this earnings report, but there is no change to the earnings forecast.
ESG
The company is working to reduce environmental impact through the development of energy- and water-saving kitchen equipment and the use of recycled materials, while on the human capital front, it promotes OJT, various specialized training programs, and encouragement of qualification acquisition (including 252 employees holding Grade 1 Kitchen Equipment Installation Skilled Worker certification). Since FY2023 (ending March 2023), it has introduced an Employee Stock Ownership Plan Trust (J-ESOP) to enhance employees' awareness of participation in management, and has also established systems to promote hiring of women and re-employment after retirement age. Quantitative disclosure of environmental indicators and targets has not yet been established at this time.
