Governance
The company has adopted the structure of a company with an audit and supervisory committee, with the Board of Directors consisting of 10 directors, including 4 outside directors. It has established a Nomination and Compensation Committee (chaired by an outside director, with outside directors comprising a majority) to ensure objectivity and transparency in decisions regarding appointments, dismissals, and compensation.
Risk Management
The company has established a Risk Management Committee chaired by the President and Representative Director, which regularly monitors, evaluates, and manages countermeasures for risks based on the Risk Management Regulations. In the event of an emergency, a task force headed by the President and Executive Officer is set up to respond.
Shareholder Returns
Under a target consolidated payout ratio of 40% and a progressive dividend policy, the annual dividend for FY2026 (ending March 2026) is planned at ¥44 per share (interim ¥22 + year-end ¥22), an increase of ¥1 year-on-year. The payout ratio is 50.1%. ¥45 is planned for FY2027 (ending March 2027). Share buybacks will also be considered flexibly.
Dividend Policy
The basic policy is to maintain stable dividends, with a target consolidated payout ratio of 40%. During the Medium-Term Management Plan 2027 period (FY2025 (ending March 2025) through FY2027 (ending March 2027)), the company will implement a progressive dividend policy, using the previous fiscal year's actual dividend per share as a floor and increasing it in line with profit growth. The annual dividend for FY2026 (ending March 2026) is ¥44 per share (interim ¥22 + year-end ¥22), an increase of ¥1 year-on-year, with a consolidated payout ratio of 50.1%. For FY2027 (ending March 2027), an annual dividend of ¥45 (interim ¥22 + year-end ¥23) is planned, with a projected payout ratio of 41.8%.
ESG
The company has identified six key priority issues: climate change, resource circulation, work-style reform, human resource development, social contribution, and corporate governance. A Sustainability Committee, chaired by the President and CEO, deliberates on and promotes these issues, and the company is also working to strengthen human capital diversity, including raising the ratio of female managers and achieving a 100% take-up rate for male employees' childcare leave.
