Takamisawa Co., Ltd. was founded in 1951 in Nagano Prefecture, originating from fruit and vegetable sales, and over its more than 70-year history has diversified into a community-based general business company with four segments: Construction-Related, Electrical Construction Materials, Car Life-Related, and Other (Food, Estate, etc.). The company has 10 consolidated subsidiaries and 2 affiliated companies, with a business base centered on Nagano Prefecture extending to Niigata, Gifu, the Kanto region, and Shandong Province in China. Its main customers span a wide range including public institutions, private companies, and general consumers, with the Electrical Construction Materials Business accounting for approximately 52% of net sales, making it the group's largest segment. Consolidated net sales for FY2025 (ending June 2025) were ¥73,567 million.

Business Model

The core business centers on the procurement and sale of electrical construction materials, petroleum products, construction materials, and the like, combined with service revenues from in-house manufacturing of concrete products and processed foods, civil engineering and construction contracting, and automobile maintenance and real estate management. Each group company captures both public- and private-sector capital investment demand and daily-life infrastructure demand in its region, creating a structure that secures stable cash flow while diversifying the risk of relying on a single business.

Company Strengths

The Electrical Construction Materials Business recorded net sales of ¥38,320 million and operating profit of ¥1,008 million in FY2025 (ended June 2025), accounting for approximately 52% of consolidated net sales and approximately 69% of consolidated operating profit for the group as a whole. The business is capturing capital expenditure demand driven by energy conservation and decarbonization, and has further expanded its business foundation through the consolidation of Gifu Denzai Co., Ltd. as a subsidiary.

In FY2025 (ended June 2025), orders received in the Construction-Related Business increased significantly, up 118.1% year on year to ¥7,724 million, while the order backlog rose 126.9% year on year to ¥3,185 million. In addition, the company has independently developed "Rokacon," a low-carbon concrete product in which approximately 60% of cement is replaced with ground granulated blast furnace slag, giving it a differentiated product that aligns with the Ministry of Land, Infrastructure, Transport and Tourism's decarbonization policy for public works projects.

By bundling together businesses with different demand cycles—Electrical Construction Materials, Construction-Related, Car Life-Related, Food-Related, and Estate-Related, among others—the company has a structure that absorbs performance fluctuations in any single business. In FY2025 (ended June 2025), all four segments achieved revenue growth, confirming the stability of sales resulting from diversification. The equity ratio improved to 37.4% (versus 35.6% at the end of the previous fiscal year).

ENVALITH's Perspective

For the nine months ended cumulative FY2026 (ending June 2026), net sales were ¥57,451 million (up 1.9% year-on-year), securing revenue growth, and net income attributable to owners of the parent also increased to ¥1,132 million (up 11.9% year-on-year). However, operating profit was ¥1,140 million (down 17.0% year-on-year), and ordinary profit was also ¥1,372 million (down 10.0% year-on-year), indicating continued deterioration in core business profitability. The increase in net income was due to an improvement in income tax adjustment (from ¥506 million in the previous year to ¥245 million in the current period), while structural cost increase pressures at the operating level (personnel expenses, material costs, selling expenses) remain a challenge.

The Car Life-Related Business posted net sales of ¥13,531 million (down 4.5% year-on-year) and an operating loss of ¥4 million (versus operating profit of ¥168 million in the previous year), while Other Businesses posted net sales of ¥5,980 million (down 2.6% year-on-year) and an operating loss of ¥119 million (versus operating profit of ¥141 million in the previous year), with both segments simultaneously falling into losses. This was due to a combination of factors, including declining sales prices resulting from the government's fuel subsidy expansion policy, intensifying competition, and increased personnel expenses and new store costs. Against the full-year earnings forecast (operating profit of ¥1,600 million), the cumulative progress rate through the third quarter stood at only 71.3%, requiring an additional ¥460 million to be accumulated in the fourth quarter.

The forecasted annual dividend for FY2026 (ending June 2026) is ¥70 (a ¥20 increase from ¥50 in the previous period), indicating a stance of strengthening shareholder returns. Meanwhile, the full-year forecast for earnings per share is ¥605.32, and the dividend payout ratio remains low at approximately 11.6%. While the dividend increase is commendable, the full-year net income forecast of ¥1,000 million (down 49.1% from the previous period) represents a significant projected decline in earnings, and whether the earnings forecast is achieved will determine the sustainability of the dividend. External factors such as US tariff policy, energy price trends, and the continuation of a weak yen should also be noted as potential influences on second-half performance.

Growth Strategy

Building on the capture of energy-saving demand in the Electrical Construction Materials Business, the Company is advancing the reconstruction of its earnings base, promotion of DX, and investment in human capital

Through proactive sales activities targeting both the public and private sectors, the Company has continuously secured capital investment projects related to energy conservation, labor-saving, and reduction of environmental impact. For the cumulative nine months of FY2026 (ending March 2026), net sales reached ¥31,111 million (up 7.5% year on year) and operating profit reached ¥1,072 million (up 21.6% year on year), functioning as the core of the Group's earnings.

Although sales volume increased due to expansion of the corporate customer base for industrial-use fuel, the segment fell into an operating loss of ¥4 million for the cumulative nine months due to lower selling prices resulting from government subsidy policy and intensified competition. Early profitability of new stores and efficiency improvements in personnel and selling expenses are urgent priorities.

Beginning with the first quarter of FY2026 (ending March 2026), the Company changed its policy to allocate a portion of previously unallocated company-wide expenses to each reportable segment based on segment assets and personnel expense criteria. This initiative aims to more accurately grasp the actual profitability of each segment and optimize the allocation of management resources.

During the cumulative nine months of the current fiscal year, Gifu Denzai Co., Ltd. was excluded from the scope of consolidation. This reflects the Group's efforts to advance the selection and concentration of its business portfolio and to focus management resources on highly profitable core businesses.
