Governance
Adopts a company with committees structure (nomination committee, etc.). The Board of Directors consists of 8 directors (of which 5 are outside directors), with independent outside directors holding a majority. Three committees—nomination, audit, and compensation—have been established, each chaired by an outside director. The Board of Directors met 14 times during the fiscal year under review.
Risk Management
The Internal Control and Information Security Promotion Headquarters identifies risk items across the group once a year and develops and operates preventive and response measures for material risks. An Information Security Committee has been established, and employee training is conducted twice a year. Some subsidiaries have obtained and continue to maintain ISO/IEC 27001 certification and the Privacy Mark. The use of external experts (attorneys, tax accountants, and certified public accountants) and the formulation of a BCP are also noted.
Shareholder Returns
The company pays dividends twice a year. For FY2026 (ending June 2026), the annual dividend per share is forecast at ¥17.0 (interim ¥8.5 already paid plus a planned year-end dividend of ¥8.5). Share buybacks totaling ¥87 million have already been executed for the cumulative nine months of the current fiscal year.
Dividend Policy
The company's policy is to continue paying stable dividends, distributing twice a year (interim and year-end). For FY2025 (ended June 2025), the actual total dividend per share was ¥16.5 (interim ¥8.0 plus year-end ¥8.5). For FY2026 (ending June 2026), the interim dividend of ¥8.5 has already been paid, and a year-end dividend of ¥8.5 is planned, bringing the forecast annual total to ¥17.0 (no revision from the most recently announced forecast).
ESG
Under the oversight of the Board of Directors, the Executive Officers' Committee discusses and discloses sustainability initiatives, including ESG, human capital, and TCFD-related matters. The Company regards human resources as its greatest asset, and conducts hierarchical training and diversity promotion, and discloses the ratio of female managers (28.6% at the submitting company). At present, no quantitative indicators or targets related to sustainability have been set, and this remains a topic for future consideration.
