Governance
The company has adopted an audit and supervisory committee structure. The board consists of 9 directors (6 of whom are outside directors), with independent outside directors constituting a majority. A voluntary "Nomination and Compensation Committee" has been established, in which independent outside directors make up a majority of both the chairperson and committee members, integrating both nomination and compensation functions.
Risk Management
The Sustainability Promotion Council, chaired by the President and Representative Director, oversees the identification, evaluation, and monitoring of company-wide risks. Under it, seven committees have been established, including the Compliance Committee, Information Security Committee, Crisis Management Committee, PMO Committee, and Investment Committee. System development risk is handled exclusively by the PMO Committee, which strives to secure profitability.
Shareholder Returns
A 3-for-1 stock split was implemented effective January 1, 2026. The annual dividend forecast for FY2026 (ending December 2026) is ¥45 per share (interim ¥22.50 + year-end ¥22.50). For the pre-split FY2025 (ended December 2025), actual annual dividend was ¥120 per share (interim ¥58 + year-end ¥62).
Dividend Policy
The basic policy is to pay dividends twice a year, comprising an interim dividend and a year-end dividend. A 3-for-1 stock split of common shares was implemented effective January 1, 2026. The annual dividend forecast for FY2026 (ending December 2026) is ¥45 per share (interim ¥22.50 + year-end ¥22.50). Actual results for FY2025 (ended December 2025), on a pre-split basis, were an annual dividend of ¥120 per share (interim ¥58 + year-end ¥62). The company is also pursuing its medium-term management plan "Social Evolution Implementation 2027," which targets a consolidated payout ratio of 50% in FY2027 (ending December 2027).
ESG
The company conducts climate change disclosure in line with the TCFD framework and has set a target of achieving carbon neutrality for Scope 1+2 emissions in FY2030 (ending March 2031). In terms of human capital, it has obtained ISO 30414 certification (the third company in Japan's domestic information and communications industry to do so), and has established KPIs such as a female manager ratio target of 16.5% (by FY2030) and maintaining an engagement score of 70% or higher. The company has also begun human rights due diligence, developing supplier questionnaires and procurement guidelines.
