Company with a Board of Corporate Auditors. Comprised of 7 directors (including 4 outside directors: Naoko Munakata, Manabu Sato, Hiroaki Sugita, and Masayuki Watanabe) and 3 corporate auditors (all outside). Although no nomination committee or compensation committee has been established, strategy discussion sessions involving directors and corporate auditors are held as needed to improve effectiveness. The Board of Directors meets 14 times per year, with all members maintaining a high attendance rate.
Risk Management
Positions the Management Meeting as the entity overseeing risk management for the entire Group, with the Risk Management Committee (held five times per year) established as a subordinate body. Information security risk, legal risk, and reputational risk are designated as key management areas, and a multi-layered structure has been built in coordination with the Compliance Committee (four times per year), the Internal Audit Office (2 members), and the internal whistleblowing system. An independent Expert Committee on AI Appropriateness has also been established to evaluate the appropriateness of AI utilization.
Shareholder Returns
No dividend continues in FY2026 (ending March 2026). The company projects a year-end dividend of ¥5 (annual ¥5) for FY2027 (ending March 2027) for the first time, marking a shift toward initiating shareholder returns following a return to profitability. No share buybacks were conducted.
Dividend Policy
No dividend (annual ¥0) is planned for FY2026 (ending March 2026). Starting from FY2027 (ending March 2027), the company projects a year-end dividend of ¥5 (annual ¥5), planning its first-ever dividend payment following a return to profitability and business recovery. When dividends are paid, the basic policy is to pay twice annually, as an interim dividend and a year-end dividend.

The company has identified five materiality issues (leveraging diverse human capital, business expansion across a broad range of industries, securing technological superiority, robust security, and governance/risk management systems) and is advancing related initiatives. In terms of human capital, the company has achieved 624 employees on a consolidated basis, a female employee ratio of 29.4%, a foreign national engineer ratio of around 40%, and a male childcare leave uptake rate of 92.9%. The company has obtained ISMS international standard certification. As of the end of March 2026, cumulative Japanese patent applications totaled 310, with 154 registered. The DE&I Statement and Credo (renewed in October 2025) have been disseminated across the entire group.
