Governance
The Board of Directors consists of 5 members (2 outside directors, 40% outside ratio), and the company has an Audit & Supervisory Board. A Compensation Committee has been established to ensure objectivity and transparency in director compensation. All directors and audit & supervisory board members attended all 18 Board of Directors meetings.
Risk Management
The Company has established Risk Management Regulations and Compliance Regulations, and holds regular meetings of the Risk Compliance Committee. In March 2026, unauthorized access resulting from a cyberattack was detected, and the Company is currently implementing recurrence prevention measures, including a review of communication routes and strengthening of the security monitoring system. Two internal audit personnel audit each department in accordance with the Internal Audit Regulations, and a system has been established whereby the audit results are reported directly to the Representative Director.
Shareholder Returns
No dividend continued in FY2026 (ending March 2026) (annual dividend of ¥0). No dividend forecast for FY2027 (ending March 2026) as well. Meanwhile, a new shareholder benefit reserve of ¥52 million was recorded, and a shareholder benefit program has been introduced. Treasury stock purchases of ¥54 thousand (a small amount) were carried out.
Dividend Policy
Annual dividend was ¥0 in both FY2025 (ending March 2025) and FY2026 (ending March 2026). The forecast for FY2027 (ending March 2026) is also ¥0. The company continues its policy of prioritizing the accumulation of internal reserves to expand its business scope and strengthen its management foundation. The timing of dividend payments remains undecided at this time, and the company intends to consider it while taking into account its business results, financial condition, and balance with internal reserves.
