Company with an Audit and Supervisory Committee. The Board of Directors consists of 6 members in total: 3 directors (1 outside director) plus 3 Audit and Supervisory Committee members (2 outside directors). In January 2025, the Compensation Committee was abolished and a Nomination and Compensation Committee was newly established, chaired by an independent outside director. Risk Management
The Risk & Compliance Committee, chaired by the Representative Director, meets quarterly to monitor compliance risk across the Group. Personal information leakage is identified as the highest-priority risk, and education and management are conducted based on the Information Security Management Regulations. A whistleblowing hotline has been established, and the Internal Audit Office (one dedicated staff member), reporting directly to the Representative Director, conducts regular audits.
Shareholder Returns
For FY2026 (ending August 2026), an interim dividend of ¥60 per share has already been paid, and a year-end dividend of ¥60 is planned, bringing the annual dividend to ¥120 (an increase from ¥105 in the previous fiscal year). Under the Articles of Incorporation, share buybacks may be conducted by resolution of the Board of Directors.
Dividend Policy
The company's basic policy is to pay stable dividends twice a year, an interim dividend and a year-end dividend. For FY2026 (ending August 2026), an interim dividend of ¥60 per share was already paid at the end of the second quarter, and a year-end dividend of ¥60 is planned, bringing the annual dividend to ¥120 (an increase from the previous fiscal year's actual ¥105). There has been no change to the full-year earnings forecast, and the dividend forecast has also not been revised.
ESG
The company has established five materiality issues: "Creating value in products and services," "Commitments to customers," "Employee well-being," "Environmental consideration," and "Sincere management." It has obtained the highest rank of "Eruboshi" certification for promoting women's participation and "Kurumin" certification, becoming the first in the bridal industry to achieve this double certification, and has received Gold in the PRIDE Index for four consecutive years since 2021. The company also engages in efforts to eliminate conflict diamonds (promoting System of Warranties) and environmental conservation activities (cleanup activities and Mt. Fuji forest development). Quantitative ESG indicators and targets are planned to be considered in the future.
