Governance
The company has adopted a structure with an Audit and Supervisory Committee, consisting of 4 internal directors and 3 audit and supervisory committee members (all outside directors), for a total of 7 members. The Audit and Supervisory Committee, in which outside directors constitute a majority of its members, audits and supervises the legality and appropriateness of business execution, promoting highly transparent management.
Risk Management
The company works with senior management and each department, centering on the Management Council, to identify, analyze, and assess the materiality of business risks—including climate-related risks—and reports the results to the Board of Directors on a regular basis. In the event of an emergency, an emergency response headquarters headed by the President is established, and the company responds through a system of specialized committees, including the Risk Management Committee, the Quality Control Committee, and the Compliance Committee.
Shareholder Returns
For FY2026 (ending March 2026), the company recorded a net loss attributable to owners of the parent of ¥1,017 million, resulting in a year-end dividend of ¥0 (no dividend). The dividend for FY2027 (ending March 2027) has not yet been determined. Under the Articles of Incorporation, share buybacks can be flexibly implemented by resolution of the Board of Directors.
Dividend Policy
The company's basic policy is to pay a year-end dividend once per year, implementing continuous and stable dividends while comprehensively considering business performance and financial position. For FY2026 (ending March 2026), due to the recorded net loss, the year-end dividend is ¥0 (no dividend; ¥3 per share in the previous fiscal year). The dividend for FY2027 (ending March 2027) has not yet been determined.
ESG
As part of its climate change response, the company is promoting sustainability initiatives such as the use of organic cotton and recycled polyester materials, as well as zero-plastic-packaging shirts (cumulative total of 2.7 million units). In terms of human capital, it has set targets of at least 10% female representation in managerial positions and a 100% male childcare leave utilization rate, and is working on diversity promotion, level-based training programs, and the acceptance of technical intern trainees at overseas subsidiaries.
