Governance
Company with an Audit and Supervisory Committee (7 directors, of whom 3 outside directors, all of whom serve on the Audit and Supervisory Committee). The company has established a Nomination and Compensation Advisory Committee, in which independent outside directors constitute a majority. The company aims to transition to a monitoring-model board of directors, promoting stronger management oversight and faster business execution.
Risk Management
In addition to risk management at each department, the Risk Management Committee, composed of full-time directors, executive officers, and department heads, meets in principle once per quarter to comprehensively identify and evaluate risks and report to the Board of Directors. Legal matters are handled in coordination with legal counsel.
Shareholder Returns
Maintains annual dividend of ¥50 per share (interim ¥25, year-end ¥25). Same amount of ¥50 forecast for FY2027 (ending February 2027), unchanged from the previous period. Treasury stock repurchases can be implemented by board of directors resolution under the articles of incorporation.
Dividend Policy
Dividends are paid twice a year, interim and year-end. For FY2026 (ending February 2026), an annual dividend of ¥50 per share (interim ¥25, year-end ¥25) was implemented. For FY2027 (ending February 2027), an annual dividend of ¥50 (¥25 at the end of the second quarter, ¥25 at year-end) is forecast, unchanged from the most recently announced forecast.
ESG
In July 2022, the company established its Sustainability Basic Policy and set up a Sustainability Committee directly under the Board of Directors. It conducted climate change scenario analysis (2°C and 4°C) based on TCFD recommendations, setting a target of a 50% reduction in GHG emissions (Scope 1 and 2) by 2030 compared to FY2021 (ending February 2021), and carbon neutrality by 2050. In terms of human capital, the company is developing a Bicycle Meister system, the ACEP executive development program, and D&I initiatives, disclosing a female manager ratio of 2.1% (target: 4.2%) and a male childcare leave uptake rate of 61.0% (target: 65.0%).
