Governance
Company with a Board of Corporate Auditors. The Board of Directors consists of 7 directors (including 3 outside directors, all of whom are independent officers), and there are 3 corporate auditors (all external). An executive officer system has been adopted to separate decision-making and oversight from business execution. The Board of Directors met 28 times during the fiscal year under review, with all directors achieving 100% attendance. No nomination committee or compensation committee is confirmed in the Annual Securities Report.
Risk Management
The Company has established the Risk Management Regulations and holds regular meetings twice a year of the Risk Management Committee, chaired by the Head of the Administration Division and attended by all division heads and department/office heads. For climate change and other sustainability-related risks, a framework has been established whereby such risks are discussed at the quarterly Sustainability Committee meetings before being reported to and monitored by the Board of Directors. The Compliance Committee and internal whistleblowing rules have also been established.
Shareholder Returns
For FY2026 (ending June 2026), the annual dividend of ¥22 (interim ¥11 already paid, year-end ¥11 planned) will be maintained. Compared to the previous period's actual dividend of ¥22 (interim ¥10 + year-end ¥12), the interim and year-end allocations have been equalized. The payout ratio target of 40% remains unchanged. Share buybacks can be implemented flexibly based on the articles of incorporation.
Dividend Policy
The policy is to pay out 40% of profit attributable to owners of parent, excluding the effect of income tax adjustments. Dividends are paid twice a year (interim and year-end) in principle, with flexible implementation based on resolutions of the Board of Directors. The actual dividend for FY2025 (ended June 2025) was ¥22 per share (interim ¥10 + year-end ¥12), and the forecast for FY2026 (ending June 2026) is ¥22 per share (interim ¥11 + year-end ¥11).
ESG
Under the "Basic Sustainability Policy" established in November 2021, the company addresses four priority issues: (1) developing ideal residences (improvements based on resident surveys), (2) supporting young artists (continuation of the 3D art competition), (3) environmental response (promoting ZEH-M apartments and disaster prevention programs), and (4) creating an attractive workplace (certification as an Excellent Health Management Corporation 2025 and introduction of a new personnel system). A Sustainability Committee is held quarterly, with oversight by the Board of Directors. Quantitative indicators and targets are currently under consideration.
