Business

Toa Boseki Co., Ltd. is a diversified corporate group listed on the TSE Standard Market, established in 2003 as a holding company for Toa Boseki Textile Co., Ltd. Originating from a long-established textile manufacturer that celebrated its 100th anniversary in 2022, the company operates six business segments: Apparel (wool yarn, wool fabrics, uniforms), Interior and Industrial Materials (automotive interior materials, non-woven fabrics), Fine Chemicals (electronic materials for semiconductors, pharmaceuticals), Real Estate (suburban commercial facilities, office building leasing), Electronics (semiconductors, electronic devices), and Other (driving schools, healthcare, Western confectionery). Major customers include Hayashi Telempu Corporation (13.3% of net sales) among other automotive-related manufacturers, government agencies, and semiconductor manufacturers. Consolidated net sales totaled ¥17,471 million (FY2025, ending December 2025).

Business Model

Manufacturing and sales operations (apparel, interior/industrial materials, fine chemicals, and electronics) account for approximately 83% of net sales, while the real estate business, which represents only 5% of net sales, generates approximately 55% (¥512 million) of operating profit, reflecting a highly profitable structure. In the manufacturing business, the company combines in-house factory production with external sales, and in the fine chemicals business, it continues to invest in capacity expansion for electronic materials used in semiconductors. Group-wide R&D expenses totaled ¥117 million, with a focus on developing new materials and new functionalities.

Company Strengths

The real estate business is a high-profitability segment, boasting operating profit of ¥512 million on sales of ¥896 million, an operating margin of 57.1%. Owned real estate assets, including land at book value of ¥17,055 million, generate stable rental income and function as a buffer that absorbs fluctuations in the manufacturing business's performance.

Against a backdrop of robust demand for electronic materials used in semiconductors, the fine chemicals business achieved sales of ¥1,525 million, up 24.5% year on year, and operating profit of ¥125 million, up 142.5% year on year. Leading indicators were also strong, with orders received of ¥1,562 million (115.5% year on year) and order backlog of ¥295 million (114.3% year on year). The company continues to expand capacity, investing ¥130 million in capital expenditure (approximately double the previous period).

The equity ratio has improved for three consecutive terms, from 36.4% in the 22nd term to 38.5% in the 23rd term to 40.7% in the 24th term. The debt redemption period has been significantly shortened, from 31.1 years to 22.5 years to 11.5 years, and the interest coverage ratio has also improved from 4.5x to 5.4x to 8.3x. Reduction of interest-bearing debt (a decrease of ¥1,081 million in outstanding debt) is progressing steadily.

ENVALITH's Perspective

The parent company shareholders' attributable net income of ¥235 million for Q1 of FY2026 (December 2026 fiscal year) appears to be a significant improvement from the net loss of ¥3 million in the same period last year, but this is mainly due to the recognition of ¥177 million in gains on sales of investment securities (extraordinary income). Core operating profit was ¥167 million (down 19.9% year-on-year), and ordinary profit was also ¥183 million (down 4.0%), indicating an underlying declining profit trend. Achievement of the full-year operating profit forecast of ¥800 million (up 40.3% from the previous fiscal year) remains a concern, as Q1 progress stood at only 20.9%, showing a heavy weighting toward the second half.

The apparel business was hit hard by soaring wool prices, inventory adjustments for school apparel, weak performance of apparel at suburban stores, and declining orders from Japan at the Chinese subsidiary, resulting in a sharp deterioration with Q1 sales of ¥1,292 million (down 15.0% year-on-year) and operating profit of ¥32 million (down 65.6%). The electronics business fell into an operating loss of ¥4 million due to reduced U.S. orders for electric power tool controllers, driven by U.S. tariff policy and country risk. Together, these two segments account for approximately 37% of total sales, but their profit contribution remains extremely limited, making the concretization of structural improvement measures a key challenge.

The full-year earnings forecast for FY2026 (ending December 2026) (net sales of ¥18,500 million, operating profit of ¥800 million) remains unchanged from the announcement made on February 13, 2026. In the interior and industrial materials business, a declining trend in automobile sales to the Middle East poses a downside risk for the second half, while the buildup of increased production capacity for carbon fiber is an upside factor. The fine chemicals business expects increased sales in the pharmaceutical field from the second quarter onward. External factors such as continued rising raw material prices and geopolitical risk (Middle East situation) are increasing uncertainty for second-half performance, and achieving the forecast will require simultaneous recovery across multiple segments.

Growth Strategy

Under the medium-term management plan TOA FG2027, the company is advancing the strengthening of fine chemicals, restructuring of its business portfolio, and financial improvement.

The company is capturing steady demand for electronic materials for semiconductors while accelerating the recovery in the pharmaceutical field (with sales increases expected from Q2 onward). In Q1 of FY2026 (ending December 2026), sales increased to ¥336 million (up 4.5% year on year). The company will continue development of high-value-added products and capacity-expansion investment, nurturing this business as a profit pillar for the group.

The carbon fiber division secured a slight increase in sales amid strong order intake while conducting machinery maintenance. The company aims to build a production expansion system from the second half onward, seeking to expand sales in the specialty fibers field and increase its contribution to earnings. Continued strength in the automotive interior materials and polypropylene fiber divisions will also drive improvement in overall segment profitability.

The mainstay controllers for power tools were hit by U.S. tariff policy and country risk, causing an operating loss of ¥4 million in Q1. The company plans to transform its earnings structure through the launch of manufacturing and sales of cartilage conduction sound collectors and detonation incinerators, as well as the rollout of new products such as extreme-heat countermeasure goods utilizing Peltier elements.

Affected by the partial withdrawal of tenants from shopping centers, Q1 sales declined slightly to ¥220 million (down 2.0% year on year) and operating profit fell to ¥127 million (down 5.3% year on year). The company will continue to pursue value enhancement through acquisition of new tenants and facility upgrades, and to make effective use of its held real estate, including land assets of ¥17,055 million.

A combination of surging wool prices, school apparel inventory adjustments, and weak suburban store apparel sales caused a sharp decline, with Q1 sales falling to ¥1,292 million (down 15.0% year on year) and operating profit dropping to ¥32 million (down 65.6% year on year). Resolution of the inventory adjustment phase and recovery in the acquisition of custom-order uniform contracts for government offices and companies will be key to earnings recovery. The company will continue to strengthen its competitiveness by offering high-value-added, high-quality products.
