Governance
As a company with an Audit and Supervisory Committee, the Board of Directors is composed of 12 directors (including 4 independent outside directors) and meets once a month. The company has established a Nomination and Compensation Advisory Committee in which independent outside directors hold a majority, ensuring objectivity and transparency in the nomination and compensation processes.
Risk Management
The company has established a framework in which seven specialized committees (Human Rights Awareness, Safety and Health, Environment, Risk Management, Product Safety and Quality Assurance, Information Security, and Social Contribution) manage respective risks under the oversight of the Sustainability Committee, with the Risk Management Committee formulating a risk map annually and reporting it to the Management Committee and the Board of Directors.
Shareholder Returns
For FY2026 (ending March 2026), the annual dividend is ¥307 per share (interim ¥141 + year-end ¥166), with total dividends of ¥5,042 million, a payout ratio of 39.3%, and DOE of 4.0%. Share buybacks of ¥7,124 million were carried out. For FY2027 (ending March 2027), the company forecasts ¥331 per share (before considering the stock split), with an expected payout ratio of 40.7%. A 1-for-5 stock split is planned effective October 1, 2026.
Dividend Policy
The basic policy is continuous and stable profit distribution, determined from a medium- to long-term perspective by comprehensively considering earnings conditions, corporate financial standing, payout ratio, and other factors. During the period of the medium-term management plan "Accelerate'27," DOE of 4% is set as the target value. Dividends are paid twice a year (interim and year-end). For FY2026 (ending March 2026), the year-end dividend was increased from ¥141 to ¥166. A stock split at a ratio of 5 shares for every 1 share of common stock is planned to take effect on October 1, 2026.
ESG
The company has identified four materiality issues: "Realizing a safe, secure, and comfortable society," "Consideration for the global environment and contribution to a circular society," "Promoting diverse talent and respecting human rights," and "Strengthening governance and CSR for sustainable growth." It has conducted scenario analysis based on the TCFD recommendations and set targets of carbon neutrality by 2050 and a 46% reduction in CO2 emissions by 2030 (versus FY2013 levels). The FY2025 result of a 50.0% reduction has already achieved this target.
